1. This Purchase Order is issued by Andes Analytics & Research Solutions SpA, a company duly registered in Chile Santiago, and constitutes a binding agreement for the procurement of professional Statistician services as described herein.
2. The Statistician, Dr. Valentina Rojas Contreras, agrees to perform all services in accordance with the professional standards established by the Colegio de Estadísticos de Chile and applicable Chilean data protection regulations (Ley 19.628 on Personal Data Protection).
3. All deliverables must be completed at the designated service location in Chile Santiago, specifically at the Andes Analytics office on Av. Apoquindo 4501, Las Condes, unless otherwise agreed in writing by both parties.
4. The Statistician shall maintain full confidentiality of all proprietary data, trade secrets, and business information accessed during the engagement. A separate Non-Disclosure Agreement (NDA) has been executed on 10 June 2025 and is incorporated by reference into this Purchase Order.
5. Payment shall be made via electronic bank transfer (transferencia electrónica) to the account specified above within thirty (30) calendar days from the date of receipt of a valid Factura (invoice) issued in compliance with the Servicio de Impuestos Internos (SII) of Chile.
6. The Statistician reserves the right to submit a change request if the scope of work materially changes. Any approved change order must be documented as an addendum to this Purchase Order and signed by both parties before additional work commences.
7. In the event of non-performance or defective deliverables, the Statistician shall have fifteen (15) business days to rectify the issue at no additional cost. Failure to rectify entitles Andes Analytics to withhold payment proportionally to the deficient portion of the work.
8. This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from this agreement shall be resolved through the competent courts of Chile Santiago, Región Metropolitana, or by binding arbitration under the rules of the Cámara de Comercio de Santiago, at the election of the aggrieved party.
9. The Statistician is engaged as an independent contractor and not as an employee of Andes Analytics. The Statistician is solely responsible for the payment of all applicable taxes, social security contributions (AFC), and professional insurance in Chile Santiago.
10. This Purchase Order becomes effective upon signature by both parties and remains valid until all services have been fully rendered and accepted, or until the expiration date stated above, whichever occurs first.
