1. Description of Purchase — Statistician EngagementThis Purchase Order is issued by Shanghai Meridian Analytics Group Co., Ltd. (hereinafter referred to as the "Buyer") to Quantum Statistical Consulting International Ltd. (hereinafter referred to as the "Seller") for the procurement of a qualified Statistician to be deployed and rendered in service within the China Shanghai metropolitan area. The engagement of this Statistician is intended to support the Buyer's ongoing data analytics, quality assurance, and market research operations conducted in and around the China Shanghai region. The Statistician shall be responsible for designing statistical models, conducting hypothesis testing, performing regression analyses, managing large-scale datasets, and producing comprehensive statistical reports in accordance with the operational standards established by the Buyer's China Shanghai headquarters.

The Statistician engaged under this Purchase Order shall perform the following duties within the China Shanghai operational environment:
- Develop and maintain statistical models for the Buyer's consumer behavior analysis programs targeting the China Shanghai metropolitan market of approximately 25 million residents.
- Conduct rigorous statistical process control (SPC) analyses for the Buyer's manufacturing quality assurance lines located in the China Shanghai industrial zones.
- Prepare monthly and quarterly statistical reports in both Mandarin Chinese and English for submission to the Buyer's board of directors and regulatory authorities in China Shanghai.
- Collaborate with the Buyer's cross-functional teams in the China Shanghai headquarters to design sampling frameworks, A/B testing protocols, and multivariate analysis strategies.
- Ensure full compliance with the People's Republic of China's Statistical Law, the Personal Information Protection Law (PIPL), and all applicable China Shanghai municipal data governance regulations.
- Maintain confidentiality of all proprietary datasets and statistical findings generated during the engagement period in China Shanghai.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order related to the Statistician's engagement in China Shanghai shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC).
- Payment Terms: Payment shall be made in Renminbi (CNY) via bank transfer to the Seller's designated account. An initial payment of 30% (CNY 215,850.00) is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in equal quarterly installments over the twelve-month engagement period of the Statistician in China Shanghai.
- Commencement: The Statistician shall commence duties no later than 01 August 2025 at the Buyer's China Shanghai office premises. The Seller warrants that the Statistician shall possess a minimum of a Master's degree in Statistics, Applied Mathematics, or a closely related quantitative discipline, along with a minimum of seven (7) years of professional statistical experience.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Statistician's access to all China Shanghai-based data systems and facilities shall be revoked immediately upon the effective date of termination.
- Intellectual Property: All statistical models, analyses, reports, and methodologies developed by the Statistician during the course of this engagement in China Shanghai shall be the exclusive property of the Buyer.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or public health emergencies.
- Confidentiality: The Seller and the Statistician shall maintain strict confidentiality regarding all trade secrets, proprietary data, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Statistician in China Shanghai. This document constitutes a binding agreement between the Buyer and the Seller effective from the date of the last signature.
