4.1 This Purchase Order is governed by the laws of the Democratic Republic of the Congo, specifically the Code des Marchés Publics (Law No. 011/2012) and applicable commercial regulations in force in DR Congo Kinshasa.
4.2 The Statistician shall comply with all data protection and confidentiality obligations as stipulated by the National Data Protection Authority of the DR Congo. All census data, demographic records, and statistical outputs generated during the engagement shall remain the exclusive property of INS-ESTAT.
4.3 Payment shall be made in United States Dollars (USD) via bank transfer to the account specified in Section 2. Invoices are due within thirty (30) days of receipt and approval by the Director of Procurement.
4.4 The Statistician shall submit monthly progress reports to the INS-ESTAT management in Kinshasa, detailing statistical analyses completed, data quality assessments, and any methodological challenges encountered.
4.5 A penalty of 1.5% per calendar day of delay shall apply to any deliverable not submitted within the agreed timeframe, as defined in the attached Statement of Work (Annex A).
4.6 This Purchase Order may be terminated by either party with a written notice of sixty (60) days. In the event of termination, the Statistician shall deliver all completed and in-progress statistical work products to INS-ESTAT within fifteen (15) days of the termination effective date.
4.7 All disputes arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Arbitration Centre of the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires).
