- 3.1 — This Purchase Order constitutes a binding agreement between the Buyer and the Statistician upon signature by both parties. All services described herein shall be performed within the jurisdiction of Italy Naples, Province of Naples, Region of Campania, Republic of Italy.
- 3.2 — The Statistician shall maintain full professional liability insurance with a minimum coverage of EUR 500,000, valid throughout the duration of this Purchase Order and compliant with Italian professional registration requirements (Albo dei Dottori Commercialisti e degli Esperti Contabili or equivalent statistical professional body).
- 3.3 — All data processed by the Statistician under this Purchase Order shall be handled in strict compliance with the European General Data Protection Regulation (GDPR) and the Italian Data Protection Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018). Data storage and processing shall occur exclusively on servers located within the Italy Naples region or within the European Economic Area.
- 3.4 — Payment shall be made via bank transfer (bonifico bancario) to the account designated by the Statistician within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-ITN-2025-04782). Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002.
- 3.5 — The Statistician shall submit monthly progress reports to the Buyer's procurement office in Naples, detailing completed tasks, pending analyses, and any methodological deviations from the original Purchase Order specifications. Any material change to the scope of work requires a written amendment to this Purchase Order signed by both parties.
- 3.6 — The Statistician warrants that all statistical methods, models, and analytical outputs delivered under this Purchase Order shall meet the peer-review standards required for publication in internationally recognised journals and shall be reproducible using the documented methodology and datasets provided.
- 3.7 — In the event of non-performance or material breach by the Statistician, the Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice, without prejudice to any claim for damages under Italian civil law (Codice Civile, Articles 1453–1467).
- 3.8 — All intellectual property rights in the final statistical reports, models, and datasets produced specifically for the Buyer under this Purchase Order shall vest in the Buyer upon full payment. The Statistician retains the right to reference the engagement in professional portfolios, subject to the Buyer's prior written approval and any confidentiality obligations.
- 3.9 — Disputes arising from this Purchase Order shall be resolved by the competent courts of Naples, Italy, in accordance with the provisions of the Italian Code of Civil Procedure. The parties agree to attempt mediation before the Camera di Commercio di Napoli prior to initiating any judicial proceedings.
- 3.10 — This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Italian Republic.
