- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with exclusive jurisdiction vested in the competent courts of Italy Rome. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through mediation in Italy Rome before litigation is pursued.
- Performance Period: The Statistician shall commence services on 1 July 2025 and shall continue to render services under this Purchase Order until 30 June 2026, unless terminated earlier in accordance with Clause 7. All work shall be performed at the Buyer's premises in Italy Rome or at such other location within Italy Rome as mutually agreed in writing.
- Payment Terms: Invoices issued by the Supplier in connection with this Purchase Order shall be payable within thirty (30) calendar days of receipt. Payment shall be made via bank transfer to the account designated by StatLab Consulting S.r.l. Late payments shall accrue interest at the rate prescribed by Article 634 of the Italian Civil Code, applicable to commercial transactions in Italy Rome.
- Confidentiality and Data Protection: The Statistician shall handle all datasets, personal data, and proprietary information in strict compliance with the EU General Data Protection Regulation (GDPR) and the Italian Data Protection Code (Codice in materia di protezione dei dati personali, D.Lgs. 196/2003 as amended). All statistical outputs produced under this Purchase Order shall remain the exclusive intellectual property of the Buyer.
- Quality Assurance: The Supplier warrants that the Statistician assigned to this Purchase Order shall meet or exceed the qualifications specified in Section 2. The Buyer reserves the right to request a substitution of the Statistician if performance does not meet the agreed standards, with a minimum of fourteen (14) days' written notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Italy Rome metropolitan area.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate this Purchase Order with fourteen (14) days' notice. Upon termination, the Statistician shall deliver all work-in-progress, datasets, and documentation to the Buyer within seven (7) business days.
- Compliance with Italian Labour Regulations: The Supplier confirms that the Statistician engaged under this Purchase Order is properly classified and compensated in accordance with the applicable Italian collective labour agreements (CCNL) for professional and technical personnel in the Italy Rome area.
