This Purchase Order is issued by Grupo Analítico del Centro, S.A. de C.V. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of specialized statistical consulting services to be rendered by a qualified Statistician operating within the jurisdiction of Mexico, Mexico City. The Statistician engaged under this Purchase Order shall provide comprehensive data analysis, predictive modeling, and statistical reporting services as detailed in the line items below. All services shall be performed in accordance with the professional standards established by the Mexican Statistical Society (Sociedad Mexicana de Estadística) and applicable regulations of the Federal Institute of Statistics and Geography (INEGI) in Mexico, Mexico City.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Statistician services. The Statistician shall perform all duties and deliverables exclusively within the metropolitan area of Mexico, Mexico City, unless otherwise authorized in writing by the Buyer.
4.2 The Statistician engaged under this Purchase Order must hold a minimum of a Master's degree in Statistics, Biostatistics, or a closely related quantitative field, and possess a valid professional registration with the relevant regulatory body in Mexico, Mexico City. A copy of the Statistician's credentials shall be submitted prior to the commencement of services.
4.3 Payment terms: Net 30 days from the date of invoice submission. All payments shall be made via bank transfer to the account designated by the Seller. Invoices must reference this Purchase Order number (MMC-STAT-2025-0047) and comply with the electronic invoicing (CFDI) requirements established by the Mexican tax authority (SAT) for transactions in Mexico, Mexico City.
4.4 The Statistician shall deliver all project milestones within the timelines specified in the attached Statement of Work. Failure to meet deadlines without prior written approval from the Buyer may result in a penalty of 2% of the affected line item value per business day of delay, up to a maximum of 15%.
4.5 All data processed by the Statistician under this Purchase Order shall be treated as strictly confidential. The Statistician shall comply with the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and all data residency requirements applicable in Mexico, Mexico City. No data shall be transferred outside the national territory of Mexico without explicit written consent.
4.6 This Purchase Order is governed by the Commercial Code of Mexico and the civil laws applicable in the Federal District of Mexico, Mexico City. Any disputes arising from this Purchase Order shall be resolved through binding arbitration administered by the Mexican Arbitration Center (CAM) in Mexico, Mexico City.
4.7 The Buyer reserves the right to modify, suspend, or cancel this Purchase Order with 15 business days' written notice. In the event of cancellation, the Seller shall be compensated for all Statistician hours rendered and expenses incurred up to the date of cancellation.
4.8 The Statistician shall provide a final comprehensive statistical report, including all methodology documentation, code repositories, and reproducible analysis notebooks, within 10 business days of project completion. This deliverable is a condition of final payment under this Purchase Order.
All services under this Purchase Order shall be performed at the Buyer's primary office located in Mexico, Mexico City, or at such other location within Mexico, Mexico City as mutually agreed upon in writing. The Statistician shall be available for on-site engagement a minimum of three (3) days per week during the contract period, with the remaining days allocated to remote analytical work as directed by the Buyer's project manager.
This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The Seller's acceptance of this Purchase Order shall be confirmed by countersignature below. Upon acceptance, the Statistician shall commence services no later than July 1, 2025, in Mexico, Mexico City.
