2. SCOPE OF WORKThe Statistician contracted pursuant to this Purchase Order shall be responsible for the following deliverables and activities, all to be conducted in Morocco Casablanca or as otherwise directed by the buyer's project management team:

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Statistician and countersignature by both parties. The Statistician acknowledges that all services described herein are to be rendered in Morocco Casablanca and are subject to Moroccan labor and professional regulations.
- Payment Terms: Payment shall be made in three (3) equal installments of MAD 177,600.00 (inclusive of VAT), due at the commencement of the engagement, at the midpoint (month 3), and upon final delivery of all deliverables. Payments shall be processed via bank transfer to the account designated by the Statistician in Morocco Casablanca. Late payments shall accrue interest at the rate of 1.5% per month in accordance with Moroccan commercial law.
- Performance Standards: The Statistician shall adhere to internationally recognized statistical methodologies (APA, ISO 3534) and shall ensure that all analytical outputs meet the quality benchmarks specified in the buyer's internal data governance policy. All work products shall be delivered in both French and English, reflecting the bilingual operational environment of Morocco Casablanca.
- Confidentiality: The Statistician agrees to maintain strict confidentiality over all proprietary data, trade secrets, and business information accessed during the performance of this Purchase Order. This obligation shall survive the termination of the engagement for a period of three (3) years.
- Intellectual Property: All statistical models, reports, code, and documentation produced under this Purchase Order shall be the exclusive property of Atlas Data Analytics SARL. The Statistician retains the right to reference the engagement in professional portfolios, subject to prior written approval from the buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Statistician shall be compensated for all services rendered up to the termination date, as documented in the project log maintained in Morocco Casablanca.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from or in connection with this Purchase Order shall be submitted to the competent commercial courts of Morocco Casablanca.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Morocco Casablanca, or pandemics, provided that the affected party notifies the other within five (5) business days.
All deliverables specified in this Purchase Order shall be submitted to the buyer's project manager at the Atlas Data Analytics SARL office in Morocco Casablanca via secure electronic transfer and, where applicable, in hard copy. The buyer shall have ten (10) business days from the date of submission to review and formally accept or reject each deliverable. Rejection must be accompanied by a written description of the deficiencies, and the Statistician shall have five (5) business days to remedy the identified issues at no additional cost.
