This Purchase Order authorizes the engagement of the above-named Statistician to deliver specialized quantitative analysis, statistical modelling, and data interpretation services for the INSD's 2025 National Demographic and Health Survey (NDHS) conducted across Senegal Dakar and surrounding regions. - Acceptance: This Purchase Order constitutes a binding procurement instrument. The Statistician shall confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- Performance Period: All services described herein shall be rendered between 1 July 2025 and 30 November 2025. The Statistician is expected to maintain a minimum of 80% on-site presence at the INSD facility in Senegal Dakar during the core analysis phases.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon contract signing, 40% upon delivery of the spatial model and regression outputs, and 30% upon final acceptance of the technical report. All payments shall be processed via wire transfer to the bank account specified in Section 2. Payment terms are Net 30 days from invoice date.
- Intellectual Property: All statistical models, code, datasets, and reports produced under this Purchase Order shall remain the exclusive property of the INSD. The Statistician retains the right to reference the engagement in professional portfolios but shall not publish or disseminate any raw data or proprietary findings without written authorization.
- Confidentiality: The Statistician shall treat all household-level data collected in Senegal Dakar as strictly confidential in accordance with Senegalese Law No. 2008-12 on Personal Data Protection. A signed Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
- Quality Assurance: The Statistician shall submit all deliverables in accordance with the INSD's internal data governance standards. A minimum of two (2) revision cycles are included in the scope. Additional revisions beyond this threshold shall be billed at 75,000 XOF per hour.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Statistician shall be compensated for all services rendered up to the termination date, plus a 10% administrative fee.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes arising from this engagement shall be resolved through arbitration in Senegal Dakar under the rules of the Senegalese Chamber of Commerce.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Senegal Dakar.
