4.1 This Purchase Order is governed by the laws of the Republic of Turkey and shall be interpreted in accordance with the Turkish Code of Obligations (Türk Borçlar Kanunu) and applicable public procurement regulations of the Ankara Metropolitan Municipality.

4.2 The Statistician shall commence all professional activities no later than 1 July 2025 and shall complete all deliverables by 30 June 2026. Any extension of the engagement period must be approved in writing by both parties and shall be documented as an amendment to this Purchase Order.

4.3 The Statistician is required to maintain a permanent professional office or registered workspace within the city of Ankara, Turkey, and shall be available for in-person consultations at the Ankara Metropolitan Statistical Authority headquarters on Kızılay Avenue, Çankaya district, no fewer than three (3) business days per week.

4.4 All statistical data collected, processed, and stored under this Purchase Order shall be handled in strict compliance with the Turkish Personal Data Protection Law (KVKK – Law No. 6698) and the General Data Protection Regulation (GDPR) as applicable to Turkey. The Statistician shall implement encryption, access controls, and secure archival protocols for all datasets pertaining to residents of Turkey Ankara.

4.5 The Statistician warrants that all analytical outputs, models, and reports delivered under this Purchase Order shall be original, free from plagiarism, and shall not infringe upon any intellectual property rights of third parties. All deliverables shall become the exclusive property of the Ankara Metropolitan Statistical Authority upon full payment.

4.6 In the event of non-performance, the Statistician shall be liable for a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total contract value. The Buyer reserves the right to terminate this Purchase Order with immediate effect upon material breach by the Statistician.

Payment shall be made in four (4) equal quarterly installments of 933,900.00 TRY each, due within thirty (30) calendar days of the end of each quarter. Payments shall be remitted via bank transfer to the Statistician's designated account at Ziraat Bankası, Ankara branch. The Buyer shall issue an official invoice (fatura) in accordance with Turkish tax regulations prior to each payment. This Purchase Order becomes effective upon signature by both authorized representatives. The Statistician acknowledges receipt of this Purchase Order and agrees to all terms, conditions, and scope of work as described herein. The engagement of the Statistician under this Purchase Order is specific to the Ankara, Turkey jurisdiction and shall not be transferred, subcontracted, or delegated to any third party without prior written consent from the Buyer.

This Purchase Order (PO-TR-ANK-2025-04782) is a legally binding document issued for the engagement of a Statistician in Turkey Ankara.
