The Statistician shall commence work on 1 July 2025 and complete all deliverables no later than 30 November 2025. All on-site work shall be conducted at the Purchasing Entity's premises in Birmingham, United Kingdom, or at such other locations within the Birmingham metropolitan area as mutually agreed in writing. Interim progress reports shall be submitted to the Purchasing Entity on a fortnightly basis. The Statistician is required to maintain professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this Purchase Order.
Payment against this Purchase Order shall be made by direct bank transfer to the Statistician's nominated account within thirty (30) calendar days of receipt of a valid tax invoice. Invoices shall reference Purchase Order number PO-2025-BHM-0472. The Purchasing Entity reserves the right to withhold payment of any disputed line item until resolution, provided that undisputed portions are paid in full within the stated period. Late payment shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 as applicable in the United Kingdom.
- This Purchase Order is governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- The Statistician warrants that all statistical analyses, models, and reports delivered under this Purchase Order shall be conducted with due professional care, in compliance with the Royal Statistical Society Code of Conduct, and shall be free from material error.
- All intellectual property rights in deliverables produced specifically for the Purchasing Entity under this Purchase Order shall vest in Midlands Analytical Research Consortium Ltd. upon full payment. The Statistician retains rights to pre-existing methodologies and tools.
- The Statistician shall comply with all applicable United Kingdom data protection legislation, including the UK GDPR and the Data Protection Act 2018, in the handling of any personal data encountered during the performance of this Purchase Order.
- Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. Upon termination, the Purchasing Entity shall pay for all services satisfactorily rendered up to the date of termination.
- The Statistician shall not subcontract any portion of the work described in this Purchase Order without the prior written consent of the Purchasing Entity.
- All communications relating to this Purchase Order shall be in English and directed to the contact details specified above in Birmingham, United Kingdom.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
