1. This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Manchester, United Kingdom.
2. The Statistician engaged under this Purchase Order must hold a minimum of a Master's degree in Statistics, Biostatistics, or a closely related quantitative discipline, and must be a registered member of the Royal Statistical Society (FRSS or FSS) or hold equivalent professional accreditation recognised in the United Kingdom.
3. All work performed by the Statistician shall be conducted in accordance with the UK Data Protection Act 2018 and the General Data Protection Regulation (GDPR) as applicable in the United Kingdom. 6. Northgate Analytics & Research Ltd. reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet agreed performance benchmarks, or insolvency of the supplier.
7. All intellectual property generated by the Statistician in the course of this engagement shall be the sole property of Northgate Analytics & Research Ltd., unless otherwise agreed in writing.
8. The Statistician must comply with all health and safety regulations applicable to workplaces in Manchester, United Kingdom, including those set by the Health and Safety Executive (HSE).
9. Any amendments to the scope, duration, or pricing outlined in this Purchase Order must be documented in a formal Change Order signed by both parties before implementation.

The Statistician is expected to be fully operational and integrated into the research team within the first five (5) working days of commencement. A dedicated workstation, software licences (SAS, R, Python, SPSS), and access to the company's secure data infrastructure will be provided at the Manchester, United Kingdom site.

This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Acceptance of this Purchase Order by the supplier constitutes full agreement to all terms, conditions, and specifications outlined herein.
