1. Scope of Engagement: The Statistician shall perform all statistical analyses, data validations, and modeling tasks as specified in Section 2 of this Purchase Order. All work shall be conducted in accordance with professional statistical ethics and the methodological guidelines published by the Vietnam National Statistics Office. The Statistician is expected to maintain full confidentiality of all proprietary data provided by the Buyer.
2. Delivery Schedule: All deliverables under this Purchase Order shall be completed no later than 31 August 2025. Interim progress reports shall be submitted bi-weekly to the Buyer's project manager at the office located in Vietnam Ho Chi Minh City. Any delays must be communicated in writing at least five (5) business days in advance.
3. Payment Terms: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon delivery of the interim statistical models, and 30% upon final acceptance of the completed report. All payments shall be transferred via bank wire to the Statistician's designated account in Vietnam Ho Chi Minh City. Payment is due within fifteen (15) calendar days of invoice receipt.
4. Intellectual Property: All statistical models, code, datasets, and reports produced under this Purchase Order shall become the exclusive property of Saigon Analytics Consultancy Co., Ltd. upon full payment. The Statistician retains the right to reference the engagement in professional portfolios, subject to the Buyer's prior written approval.
5. Compliance and Licensing: The Statistician warrants that they hold a valid professional license issued by the relevant Vietnamese authority and that all statistical methodologies employed comply with the Law on Statistics of Vietnam (2015) and its implementing decrees. The Statistician shall bear full responsibility for any regulatory non-compliance arising from their professional work.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Statistician for all work completed and documented up to the termination date, calculated on a pro-rata basis.
7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall be resolved through mediation in Vietnam Ho Chi Minh City before submission to the competent commercial court.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Vietnam Ho Chi Minh City.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Statistician for the statistical services described herein, to be performed in and around Vietnam Ho Chi Minh City.

This Purchase Order (PO-VNM-HCM-2025-0472) is issued in two (2) original copies, one for each party. This document is valid only when signed and stamped by both parties. All references to Vietnam Ho Chi Minh City in this document refer to the administrative boundaries of the city as defined by the Government of Vietnam. The Statistician's professional obligations under this Purchase Order are subject to the Code of Ethics for Statistical Professionals in Vietnam.
