This Purchase Order is issued by Melbourne Metropolitan Health Services Pty Ltd (hereinafter referred to as the "Purchaser") to engage the services of a qualified Surgeon for the provision of surgical procedures, pre-operative consultations, and post-operative care within the Australia Melbourne metropolitan region. The Surgeon shall perform all duties in accordance with the standards set forth by the Australian Health Practitioner Regulation Agency (AHPRA) and the Medical Board of Australia.

The scope of this Purchase Order encompasses the following surgical and clinical services to be delivered at the Melbourne Metropolitan Health Services facility located in the City of Melbourne, Victoria:

All services described in this Purchase Order shall be performed at the Melbourne Metropolitan Health Services facility, 42 Collins Street, Melbourne, Victoria 3000, Australia, or at such other approved Australia Melbourne hospital sites as mutually agreed in writing between the Purchaser and the Surgeon. The Surgeon is required to maintain a minimum on-site presence of five (5) days per week at the primary Melbourne location, with additional availability for emergency call-outs across the greater Melbourne metropolitan area.

Payment for services rendered under this Purchase Order shall be made in accordance with the following schedule:

All payments shall be made via electronic funds transfer (EFT) to the bank account nominated by the Surgeon in writing. Invoices must be submitted to the Purchaser's Accounts Payable department in Melbourne no later than the 28th of each month for services rendered in the preceding month. Payment terms are net thirty (30) days from receipt of a valid invoice.

  1. Regulatory Compliance: The Surgeon shall maintain an active and unrestricted registration with AHPRA and the Medical Board of Australia throughout the duration of this Purchase Order. Any lapse in registration shall constitute immediate grounds for termination.
  2. Professional Indemnity Insurance: The Surgeon shall maintain professional indemnity insurance with a minimum cover of AUD $10,000,000 per claim, issued by an insurer registered in Australia. Certificates of insurance shall be provided to the Purchaser prior to commencement of services in Melbourne.
  3. Confidentiality: All patient records, clinical data, and proprietary information accessed by the Surgeon in the course of performing duties under this Purchase Order in Australia Melbourne shall be treated as strictly confidential and handled in accordance with the Privacy Act 1988 (Cth) and the National Privacy Principles.
  4. Quarterly performance reviews shall be conducted by the Purchaser's Medical Director in Melbourne.
  5. Termination: Either party may terminate this Purchase Order by providing thirty (30) days written notice. The Purchaser may terminate immediately for material breach, loss of AHPRA registration, or gross negligence by the Surgeon.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes shall be resolved in the courts of Australia Melbourne or by arbitration under the rules of the Victorian Commercial Arbitration Service.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Melbourne region, pandemics, or government-mandated closures.
  8. Intellectual Property: Any surgical techniques, protocols, or training materials developed specifically for the Purchaser during the term of this Purchase Order shall remain the property of Melbourne Metropolitan Health Services Pty Ltd.
