1. Description of Purchase Order and Scope of Services

This Purchase Order is formally issued by the Dhaka Metropolitan Medical Services Directorate to procure the professional surgical services of a qualified Surgeon for a defined period of engagement within the jurisdiction of Bangladesh Dhaka. The purpose of this Purchase Order is to secure the expertise of a board-certified Surgeon to perform scheduled and emergency surgical procedures at the designated medical facility located in Bangladesh Dhaka. The Surgeon engaged under this Purchase Order shall be responsible for all aspects of surgical care, including pre-operative assessment, intra-operative execution, and post-operative follow-up for a minimum of thirty (30) days per patient case.

The Surgeon must hold a valid medical license issued by the Bangladesh Medical and Dental Council (BMDC) and must possess a minimum of ten (10) years of post-qualification surgical experience. The Surgeon shall operate exclusively within the facilities designated in Bangladesh Dhaka and shall comply with all regulatory standards set forth by the Directorate General of Health Services, Government of Bangladesh.

3. Terms and Conditions of the Purchase Order

Acceptance: This Purchase Order shall become binding upon written acceptance by the Surgeon within seven (7) calendar days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
Scope of Engagement: The Surgeon shall render all surgical and related medical services exclusively at the designated facility in Bangladesh Dhaka as specified in Annexure A of this Purchase Order. The Surgeon shall not delegate any surgical procedure to another practitioner without prior written consent from the issuing authority.
Compliance with Regulations: The Surgeon shall adhere to all medical practice regulations, infection control protocols, and patient safety standards mandated by the Bangladesh Medical and Dental Council and the Directorate General of Health Services operating in Bangladesh Dhaka.
Payment Schedule: Payment under this Purchase Order shall be disbursed in monthly installments within thirty (30) days of the completion of each monthly service cycle. All payments shall be made in Bangladeshi Taka (BDT) via bank transfer to the account designated by the Surgeon.
Insurance and Liability: The Surgeon shall maintain a valid professional medical malpractice insurance policy with a minimum coverage of BDT 5,000,000 throughout the duration of this Purchase Order. Any claims arising from surgical complications shall be handled in accordance with the Bangladesh Medical Commission's dispute resolution framework in Bangladesh Dhaka.
Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, surgical outcomes, and proprietary medical information encountered during the execution of this Purchase Order in Bangladesh Dhaka.
Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Surgeon shall ensure the safe transfer of all ongoing patient cases to a qualified replacement Surgeon within Bangladesh Dhaka.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Bangladesh Dhaka.
Validity: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance and may be renewed upon mutual written agreement of both parties.

4. Authorization and Signatures

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Surgeon in Bangladesh Dhaka. This document constitutes a legally binding agreement between the parties.
