All surgical procedures shall be conducted in strict compliance with the standards established by the Agência Nacional de Vigilância Sanitária (ANVISA) and the Brazilian Ministry of Health. The Surgeon shall maintain full malpractice insurance coverage with a minimum liability limit of BRL 5,000,000.00 throughout the duration of this Purchase Order.

4.1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Surgeon services as described herein. All terms are governed by the Civil Code of the Federative Republic of Brazil (Lei nº 10.406/2002) and applicable medical regulation statutes.

4.2. The Seller warrants that the Surgeon assigned to fulfill this Purchase Order holds all necessary credentials, licenses, and registrations to practice surgery in the state of Rio de Janeiro, Brazil. Any lapse in professional registration shall result in immediate termination of this Purchase Order without penalty to the Buyer.

4.3. Payment shall be processed in Brazilian Reais (BRL) via bank transfer to the account designated by the Seller. Invoices must be submitted within five (5) business days of the completion of each billing cycle. Late payments shall accrue interest at the rate of 1% per month, as stipulated by Brazilian commercial law.

4.4. The Seller reserves the right to substitute the assigned Surgeon with a qualified equivalent, provided that the substitute meets or exceeds the qualifications specified in Section 1 of this Purchase Order and that the Buyer receives written notice no fewer than ten (10) business days prior to the substitution.

4.5. All patient data and medical records handled by the Surgeon under this Purchase Order are subject to the Brazilian General Data Protection Law (LGPD — Lei nº 13.709/2018). Unauthorized disclosure of patient information shall constitute a material breach of this Purchase Order.

4.6. This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless terminated earlier by mutual written agreement or for cause as defined herein.

All services rendered under this Purchase Order shall be performed exclusively at the hospital premises located in Brazil Rio de Janeiro, specifically at Av. Atlântica, 2500, Copacabana, Rio de Janeiro, RJ. The Surgeon shall report to the surgical department at the times specified in the weekly schedule provided by the Buyer.
