2. Description of Purchase — Surgeon Services

This Purchase Order is issued by Pacific Northwest Surgical Centre to formally engage the services of a qualified Surgeon for the provision of surgical procedures, pre-operative consultations, post-operative follow-up care, and related medical services within the metropolitan area of Canada Vancouver. The Surgeon shall perform all duties in accordance with the standards established by the College of Physicians and Surgeons of British Columbia and the Canadian Medical Association.

The engagement of this Surgeon is specifically required to support the expanding surgical caseload at the Vancouver facility and to ensure continuity of care for patients residing in the Greater Vancouver region of Canada. All services rendered under this Purchase Order shall be conducted at the Pacific Northwest Surgical Centre located in Vancouver, British Columbia, Canada, or at such other approved medical facility within the Canada Vancouver metropolitan area as mutually agreed upon in writing.

4. Terms & Conditions
  1. Scope of Practice: The Surgeon shall perform all surgical and medical services in strict compliance with the Medical Act of British Columbia, the regulations of the College of Physicians and Surgeons of British Columbia, and all applicable federal and provincial health legislation governing the practice of medicine in Canada Vancouver.
  2. Term of Engagement: This Purchase Order shall remain in effect for a period of twelve (12) months from the date of acceptance, commencing July 1, 2025, and expiring June 30, 2026, unless renewed in writing by both parties.
  3. Payment Terms: Invoices submitted by the Surgeon or the Surgeon's authorized billing agent shall be payable within thirty (30) days of receipt. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer to the account designated by the Surgeon.
  4. Insurance & Liability: The Surgeon shall maintain, at the Surgeon's own expense, a minimum of $5,000,000 in professional medical malpractice liability insurance, with Pacific Northwest Surgical Centre named as an additional insured party. Proof of insurance shall be provided prior to the commencement of services in Canada Vancouver.
  5. Confidentiality & Patient Privacy: The Surgeon shall comply fully with the Personal Information Protection Act (PIPA) of British Columbia and the federal Privacy Act of Canada. All patient records, surgical reports, and clinical data generated in Canada Vancouver shall be treated as strictly confidential and shall not be disclosed to any third party without written patient consent.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Surgeon shall complete all scheduled surgical procedures and post-operative care obligations for patients already under active treatment in Canada Vancouver.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vancouver, British Columbia, Canada, in accordance with the Arbitration Act of British Columbia.
  8. Compliance: The Surgeon warrants that all credentials, licenses, and certifications required to practice surgery in Canada Vancouver are current, valid, and in good standing. The Surgeon shall notify the Purchasing Entity within forty-eight (48) hours of any disciplinary action, suspension, or change in registration status with the College of Physicians and Surgeons of British Columbia.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or acts of war affecting the Canada Vancouver region.
5. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Surgeon in Canada Vancouver. This document constitutes a binding agreement for the procurement of surgical medical services as described herein.
