This Purchase Order is issued by Beijing Capital Medical Center to procure, install, and commission a comprehensive suite of advanced surgical equipment and instruments specifically designated for the use of Dr. Chen Xiaoming, Chief Surgeon of the General and Minimally Invasive Surgery Department. All items listed herein are to be delivered, installed, and made fully operational within the operating theatre facilities located in China Beijing by the required delivery date. The Surgeon will be the primary end-user of all procured equipment, and all configurations, calibrations, and ergonomic adjustments must be completed in direct consultation with the Surgeon prior to final acceptance. The supplier acknowledges that this Purchase Order is subject to the regulatory oversight of the China Beijing Municipal Health Commission and the National Medical Products Administration (NMPA) of the People's Republic of China.

5.1 – This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All terms are governed by the Civil Code of the People's Republic of China and applicable regulations in China Beijing.

5.2 – The Supplier warrants that all equipment is new, unused, and complies with NMPA Class III medical device registration requirements. Certificates of conformity and import permits (where applicable) must accompany delivery to China Beijing.

5.3 – The Surgeon, Dr. Chen Xiaoming, reserves the right to inspect and test all equipment upon arrival. Final acceptance of this Purchase Order shall not be deemed complete until the Surgeon signs the Acceptance Certificate confirming that all instruments and systems meet the specified clinical and ergonomic requirements.

5.4 – Payment shall be processed via bank transfer to the Supplier's designated account within thirty (30) calendar days of the Surgeon's written acceptance. Late payments shall accrue interest at 0.05% per day as stipulated under China Beijing commercial law.

5.5 – The Supplier shall provide a minimum three-year warranty on all mechanical and electronic components. Any defect discovered within the warranty period shall be repaired or replaced at no additional cost to the Buyer, with on-site service provided within 48 hours in China Beijing.

5.6 – The Supplier is responsible for all packaging, transportation, customs clearance (if applicable), and insurance of goods in transit to the delivery address in China Beijing. Risk of loss transfers to the Buyer only upon physical receipt and the Surgeon's preliminary inspection.

5.7 – In the event of non-delivery or material breach of this Purchase Order, the Buyer reserves the right to cancel the order, recover all prepayments, and claim damages in accordance with applicable law in China Beijing.

5.8 – All training sessions for the Surgeon and supporting surgical team shall be conducted in Mandarin Chinese and English, at the facility in China Beijing, at no additional charge beyond the amount specified in Line Item 08.
