1. 3.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Supplier upon signature by both authorized representatives. All goods and services described herein are specifically procured for the use of the designated Surgeon at the Guangzhou Municipal General Hospital, China Guangzhou.
3.2 The Supplier shall ensure that all surgical instruments and equipment comply with the National Medical Products Administration (NMPA) of China and meet the ISO 13485 medical device quality management standard. The Surgeon's professional credentials must be verified and registered with the Guangdong Provincial Health Commission prior to the commencement of services.
3.3 Delivery of all physical items listed in this Purchase Order shall be completed no later than 01 August 2025 at the receiving facility in China Guangzhou. The Supplier bears full responsibility for international shipping, customs clearance through Guangzhou Port, and final delivery to the hospital's surgical procurement office.
3.4 Payment shall be made in Chinese Yuan (CNY) via bank transfer within forty-five (45) calendar days of the Supplier's invoice, subject to successful inspection and acceptance of all items by the hospital's Quality Assurance Committee. A 10% retention shall be held until the Surgeon has completed the first ninety (90) days of active service without incident.
3.5 The Supplier warrants that all equipment is new, unused, and free from defects. The warranty period for the Robotic Surgical System is thirty-six (36) months from the date of installation in China Guangzhou. The Surgeon's professional liability insurance shall be maintained at a minimum coverage of CNY 5,000,000 per occurrence throughout the contract term.
3.6 Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by both parties. Unauthorized verbal agreements shall hold no legal standing under the Civil Code of the People's Republic of China.
3.7 Disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission. The governing law shall be the law of the People's Republic of China.
4. Acceptance and AuthorizationBy signing below, both parties acknowledge that this Purchase Order has been reviewed, all terms are understood and accepted, and the procurement of the Surgeon's services and associated surgical equipment for deployment in China Guangzhou is hereby authorized and approved.
