- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, specifically the Civil Code of the PRC and the Regulations on the Administration of Medical Institutions. Any disputes arising from this Purchase Order related to the Surgeon's services in China Shanghai shall be submitted to the Shanghai International Arbitration Center (SHIAC) for binding arbitration.
- Regulatory Compliance: The Surgeon must obtain a valid practice permit issued by the Shanghai Municipal Health Commission prior to performing any surgical procedure. All surgical instruments and implantable devices listed in this Purchase Order must bear valid National Medical Products Administration (NMPA) registration numbers before they are introduced into the operating theatre in China Shanghai.
- Payment Terms: Payment shall be made in Chinese Yuan (CNY) via bank transfer to the Seller's designated account. A 30% advance payment (¥ 1,576,500.00) is due within 10 business days of the Surgeon's arrival in China Shanghai. The remaining 70% shall be paid in two equal installments: 50% upon completion of the first 10 surgical procedures and 50% upon final completion of all procedures and delivery of post-operative reports.
- Performance Standards: The Surgeon shall adhere to all clinical protocols established by Shanghai Pudong International Medical Center and the National Health Commission of China. All surgical procedures must be documented in the hospital's electronic medical record system in both Mandarin Chinese and English. The Surgeon is required to maintain a complication rate not exceeding the national benchmark for the respective procedure types as published by the Chinese Medical Association.
- Intellectual Property: Any surgical techniques, proprietary methods, or training materials developed or disclosed by the Surgeon during the engagement in China Shanghai shall remain the intellectual property of the Surgeon. However, the Buyer retains the right to use such materials for internal training purposes within the facility.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall compensate the Surgeon for all procedures completed to date and for non-refundable travel and accommodation expenses already incurred in China Shanghai.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, surgical outcomes, and proprietary business information in compliance with the Personal Information Protection Law of the PRC and the Shanghai Municipal Data Security Regulations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated quarantine measures, or restrictions on cross-border medical practice in China Shanghai.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for the procurement of Surgeon services and associated surgical equipment for use in China Shanghai. This document constitutes a binding agreement upon execution by both authorized representatives.
