This Purchase Order is issued by Alexandria General Medical Center to formally engage the services of a qualified Surgeon for the provision of surgical procedures, pre-operative consultations, post-operative follow-up care, and related medical services to be performed at the facility located in Egypt Alexandria. The engagement is subject to the terms, conditions, and regulatory requirements set forth by the Egyptian Ministry of Health and the Egyptian Medical Syndicate. The Surgeon shall comply with all applicable medical protocols, infection control standards, and patient safety guidelines as mandated for all surgical operations conducted within the Egypt Alexandria metropolitan healthcare district.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Surgeon within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Performance Period: All surgical services and professional engagements outlined herein shall be executed between 1 July 2025 and 30 September 2025 at the Alexandria General Medical Center facility in Egypt Alexandria.
- Licensing and Compliance: The Surgeon warrants that all professional licenses, malpractice insurance (minimum coverage of EGP 5,000,000), and certifications are current and valid throughout the performance period. The Surgeon shall adhere to all regulations issued by the Egyptian Medical Syndicate and the Ministry of Health for the Egypt Alexandria governorate.
- Payment Terms: Payment shall be made in three (3) equal monthly installments within fifteen (15) business days following the end of each calendar month. Payment shall be processed via bank transfer to the account designated by the Surgeon in writing. All amounts are denominated in Egyptian Pounds (EGP) and are subject to applicable Egyptian tax regulations.
- Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, medical data, and proprietary operational information of Alexandria General Medical Center. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of gross professional negligence, loss of medical license, or violation of patient safety protocols, the Buyer reserves the right to terminate immediately without penalty.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Egypt Alexandria in accordance with Egyptian law. If mediation fails, disputes shall be submitted to the competent courts of Alexandria, Egypt.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Egypt Alexandria region.
