  1. Validity: This Purchase Order is valid for a period of twelve (12) months from the date of signature, commencing 01 July 2025 and expiring on 30 June 2026, unless renewed in writing by both parties.
  2. Payment Terms: Payment for the Surgeon's services shall be made in monthly installments within thirty (30) days of receipt of the Surgeon's verified timesheet and corresponding surgical log, submitted to the Procurement & Supply Department of the hospital in Ethiopia Addis Ababa. Payment shall be processed via bank transfer to the Surgeon's designated account at Commercial Bank of Ethiopia.
  3. Performance Standards: The Surgeon shall maintain a minimum availability of 80% of scheduled operating hours and shall respond to emergency surgical calls within thirty (30) minutes of notification. Failure to meet these standards for two consecutive months shall constitute grounds for termination of this Purchase Order.
  4. Licensing and Compliance: The Surgeon shall maintain a valid medical practice license issued by the Federal Ministry of Health of Ethiopia and shall comply with all regulations governing surgical practice in Ethiopia Addis Ababa. The Surgeon shall carry professional liability insurance with a minimum coverage of ETB 5,000,000 per claim.
  5. Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, surgical outcomes, and institutional data encountered during the performance of this Purchase Order, in accordance with Ethiopian data protection law.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Surgeon shall complete all in-progress surgical cases and hand over patient records to the hospital's surgical department in Ethiopia Addis Ababa.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through mediation. If unresolved, the matter shall be referred to the competent court of law in Addis Ababa, Ethiopia.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia.

All services described in this Purchase Order shall be rendered at Black Lion Specialized Teaching Hospital, Bole Road, Ethiopia Addis Ababa, and at such other affiliated surgical facilities within the Addis Ababa health zone as may be designated in writing by the hospital's Chief of Surgery. The Surgeon shall report to the hospital's main administrative office for scheduling, documentation, and administrative purposes.
