- 3.1 This Purchase Order constitutes a binding agreement between MedTech Solutions GmbH (hereinafter "the Purchaser") and the named Surgeon (hereinafter "the Service Provider") for the provision of surgical and related medical services in Germany Berlin.
- 3.2 The Surgeon warrants that he/she holds a valid medical license (Approbation) issued by the Berlin State Medical Chamber and maintains current professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 5,000,000 per claim.
- 3.3 All surgical procedures shall be performed in accordance with the German Medical Association's professional guidelines (Berufsordnung der Bundesärztekammer) and the applicable hospital protocols at the designated facility in Germany Berlin.
- 3.4 Payment terms: Net 30 days from the date of invoice. Invoices shall be submitted electronically via the Purchaser's accounts payable portal. Late payments shall incur interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- 3.5 The Surgeon shall comply with all data protection obligations under the GDPR and the German Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG) regarding patient records and medical data processed in Germany Berlin.
- 3.6 Cancellation: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Purchaser shall compensate the Surgeon for services already rendered and any non-recoverable commitments made in reliance on this Purchase Order.
- 3.7 Dispute resolution: Any disputes arising from this Purchase Order shall be governed by the laws of the Federal Republic of Germany. The exclusive jurisdiction shall be the competent court in Berlin, Germany.
- 3.8 The Surgeon shall not subcontract or delegate any surgical procedures covered under this Purchase Order without prior written consent from the Purchaser's Chief Medical Officer in Germany Berlin.
- 3.9 All deliverables, including operative reports and medical documentation, shall be submitted in German in accordance with local regulatory requirements, with English translations provided upon request for the Purchaser's internal records.
Performance under this Purchase Order shall commence on 1 July 2025 and conclude on 30 September 2025, unless extended by mutual written agreement. The Surgeon shall report to the designated surgical facility in Germany Berlin (Charité Campus Mitte, Charitéplatz 1, 10117 Berlin) at the times specified in the weekly surgical schedule provided by the Purchaser's Operations Department. Any changes to the schedule must be communicated to the Surgeon no fewer than 48 hours in advance.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Surgeon in Germany Berlin.
