- Scope of Engagement: The Surgeon shall perform all surgical and clinical duties as outlined in Section 4 of this Purchase Order. The Surgeon is engaged as an independent medical professional (freiberufliche Tätigkeit) and not as an employee of the purchasing entity, in compliance with German labor and medical regulation law.
- Place of Performance: All services under this Purchase Order shall be rendered at the Klinikum München-Süd facility in Germany Munich or at mutually agreed satellite locations within the Munich urban district. The Surgeon shall comply with all hospital protocols, infection control standards, and Bavarian health authority regulations applicable in Germany Munich.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Confidentiality & Data Protection: The Surgeon shall adhere strictly to the German Federal Data Protection Act (Bundesdatenschutzgesetz — BDSG) and the EU General Data Protection Regulation (GDPR) in handling all patient records and medical data processed in Germany Munich.
- Liability & Insurance: The Surgeon shall maintain professional medical malpractice insurance (Berufshaftpflichtversicherung) with a minimum coverage of 5,000,000 EUR per claim. The Surgeon assumes full professional liability for surgical outcomes in accordance with German medical law.
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In cases of gross professional misconduct or loss of medical license, immediate termination is permitted without notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Munich, Germany. The parties agree to attempt mediation before initiating formal litigation.
