2. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

5. DELIVERY AND LOGISTICS

All items referenced in this Purchase Order shall be delivered to the Surgical Procurement Receiving Bay, Ground Floor, Ospedale San Raffaele, Via Olgettina 60, 20132 Milan, Italy. The supplier, MedTech Instruments S.r.l., is required to complete full delivery within fifteen (15) business days from the date of acceptance of this Purchase Order. Delivery must be scheduled between 08:00 and 16:00 CET to avoid disruption to the Surgeon's operative schedule. All surgical instruments must arrive in their original sterile packaging, accompanied by certificates of conformity, CE marking documentation, and Italian-language user manuals as required by the Italian regulatory framework. The supplier bears full responsibility for safe transport within the metropolitan area of Milan, Italy, and for any damage incurred during transit.

6. PAYMENT TERMS

Payment for this Purchase Order shall be made via bank transfer (bonifico bancario) to the supplier's designated account. The payment schedule is as follows: thirty percent (30%) upon confirmation and acceptance of this Purchase Order; fifty percent (50%) upon verified delivery and inspection of all surgical goods at the Milan, Italy facility; and the remaining twenty percent (20%) upon successful completion of the thirty-day post-delivery performance and calibration period. Late payments shall incur interest at the rate of 1.5% per month in accordance with Italian commercial law (Codice Civile, Art. 1284).

7. QUALITY ASSURANCE AND COMPLIANCE

The supplier warrants that all surgical instruments and equipment listed in this Purchase Order are new, unused, and manufactured in full compliance with EU Medical Device Regulation 2017/745, Italian national transposition laws, and the specific clinical protocols of the attending Surgeon at Ospedale San Raffaele, Milan. Each item must carry a valid CE mark and, where applicable, an Italian Notified Body certification. The supplier shall provide a minimum two-year warranty covering manufacturing defects, with on-site repair service available within the Milan metropolitan area within forty-eight (48) hours of a reported fault. 8. TERMS AND CONDITIONS
