This Purchase Order is issued by Clinique Médicale d'Abidjan to procure the professional services of a qualified Surgeon along with associated surgical instruments, consumables, and equipment necessary for the execution of elective and emergency surgical procedures at our facility located in Ivory Coast Abidjan. The Surgeon engaged under this Purchase Order must hold a valid medical license issued by the Ivorian Ministry of Health, possess a minimum of ten (10) years of post-graduate surgical experience, and demonstrate proficiency in general surgery, orthopedic surgery, and emergency trauma care. All services rendered under this Purchase Order shall be performed in strict compliance with the regulatory standards established by the Ivorian health authority and the West African Health Organization (WAHO).

All physical goods listed in this Purchase Order shall be delivered to the surgical wing of Clinique Médicale d'Abidjan, Boulevard Latrille, Cocody, Ivory Coast Abidjan, within thirty (30) calendar days of the date of this Purchase Order. The Surgeon and the Resident Surgeon shall commence their duties at the facility in Ivory Coast Abidjan no later than the first business day of the following month. All equipment must be installed, calibrated, and certified for use by the Ivorian Directorate of Medical Equipment before the Surgeon begins operating.

Payment for this Purchase Order shall be made in West African CFA Francs (XOF) via bank transfer to the vendor account specified in Section 2. The payment schedule is as follows:

  • 30% advance payment upon signature and acceptance of this Purchase Order by both parties.
  • 40% milestone payment upon confirmed delivery and installation of all surgical equipment in Ivory Coast Abidjan and verified commencement of the Surgeon's duties.
  • 30% final payment upon successful completion of the twelve-month service period and submission of the final performance report by the Surgeon team.

Late payments shall incur a penalty of 1.5% per month of the outstanding balance. All invoices must reference the Purchase Order number PO-IVC-ABJ-2025-04782.

  1. This Purchase Order constitutes a binding agreement between Clinique Médicale d'Abidjan and MedSurg International Consultants SARL for the procurement of Surgeon services and associated medical equipment in Ivory Coast Abidjan.
  2. The Surgeon engaged under this Purchase Order must maintain a valid Ivorian medical practice license throughout the entire contract duration. Failure to maintain licensure shall constitute grounds for immediate termination of this Purchase Order.
  3. All surgical equipment delivered under this Purchase Order must comply with Ivorian pharmaceutical and medical device regulations as enforced by the Ivorian Agency for Medicines and Health Products (AMM).
  4. The vendor shall provide a minimum of twelve (12) months warranty on all capital equipment. Consumables are excluded from warranty coverage.
  5. Confidentiality: All patient data accessed by the Surgeon during the execution of this Purchase Order in Ivory Coast Abidjan shall be treated as strictly confidential in accordance with Ivorian data protection law.
  6. Disputes arising from this Purchase Order shall be resolved through arbitration in Abidjan, Ivory Coast, in accordance with the rules of the Ivorian Chamber of Commerce.
  7. This Purchase Order may be amended only by written mutual consent of both parties, signed and dated, referencing the original Purchase Order number.
  8. The vendor shall indemnify the purchasing entity against any claims arising from the negligence or malpractice of the Surgeon during the performance of duties under this Purchase Order.
