Description of Procured Services

This Purchase Order is issued by the Kyoto Metropolitan Medical Consortium to formally procure the professional surgical services of a qualified Surgeon for a scheduled elective procedure to be performed in Japan Kyoto. The Surgeon engaged under this Purchase Order shall provide all necessary pre-operative consultations, the primary surgical intervention, and post-operative follow-up care in accordance with the highest standards of medical practice recognized in Japan Kyoto and the broader Japanese medical regulatory framework.

The Surgeon must hold a valid medical license issued by the Japanese Ministry of Health, Labour and Welfare, and must be a board-certified specialist in the relevant surgical discipline. All services rendered under this Purchase Order shall take place exclusively within the designated surgical facilities located in Japan Kyoto, ensuring compliance with local health regulations, hospital protocols, and the ethical standards upheld by the Kyoto Medical Association.

Terms and Conditions

1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Service Provider for the surgical services described herein. The Surgeon identified in this document shall be the sole individual performing the primary surgical intervention in Japan Kyoto.

2. The Surgeon shall maintain full professional liability insurance coverage throughout the duration of services rendered under this Purchase Order. Proof of insurance shall be provided prior to the commencement of any surgical activity in Japan Kyoto.

3. All medical records, operative notes, and patient data generated in connection with this Purchase Order shall be stored in compliance with the Japanese Act on the Protection of Personal Information (APPI) and the specific data retention policies of the host hospital in Japan Kyoto.

4. In the event that the designated Surgeon is unable to perform the scheduled procedure due to unforeseen medical or personal circumstances, the Service Provider shall arrange a substitute Surgeon of equivalent or superior qualification, subject to written approval by the Purchasing Entity. The substitute must also be licensed and practicing in Japan Kyoto.

5. Payment shall be processed via bank transfer to the account designated by the Service Provider. The Purchase Order shall be considered fulfilled upon receipt of the final invoice and completion of all post-operative follow-up sessions in Japan Kyoto.

6. Any disputes arising from this Purchase Order shall be resolved through mediation under the jurisdiction of the Kyoto District Court, Japan Kyoto, in accordance with the Civil Code of Japan.

7. This Purchase Order may not be transferred, assigned, or subcontracted without the prior written consent of both parties. The Surgeon services are personal in nature and cannot be delegated to an unapproved third party.

Authorization and Acceptance

By signing below, both parties acknowledge and agree to all terms specified in this Purchase Order for the procurement of Surgeon services to be delivered in Japan Kyoto. This document is executed in two (2) original copies, one for each party.
