4. Terms and Conditions4.1 This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Japan Medical Service Act and the Tokyo Metropolitan Medical Personnel Regulations. All disputes arising from this Purchase Order regarding the Surgeon's services in Japan Tokyo shall be resolved through arbitration in Tokyo, Japan.
4.2 The Surgeon shall maintain all necessary professional licenses, malpractice insurance (minimum coverage of JPY 500,000,000), and certifications throughout the duration of this Purchase Order. Failure to maintain such credentials shall constitute grounds for immediate termination of this Purchase Order by the Purchaser.
4.3 The Surgeon shall comply with all patient confidentiality obligations as stipulated under Japan's Personal Information Protection Act (APPI) and the Tokyo Medical Ethics Code. All patient records generated under this Purchase Order shall be stored at the Tokyo National Medical Center and shall not be removed from Japan Tokyo without written authorization.
4.4 Payment terms: Net 45 days from the date of invoice submission. Invoices shall be submitted monthly to the Tokyo Metropolitan Medical Procurement Authority. Payment shall be made via bank transfer to the Surgeon's designated account in Japan. Late payments shall accrue interest at the rate of 1.5% per month as permitted under Japanese commercial law.
4.5 The Surgeon shall be available for a minimum of 60 hours per week within the Japan Tokyo metropolitan area. Any absence exceeding 48 hours must be reported to the Purchaser in writing at least 72 hours in advance, and a qualified substitute Surgeon must be arranged at no additional cost to the Purchaser.
4.6 This Purchase Order may be amended only by mutual written agreement between the Purchaser and the Surgeon. Any amendment must be countersigned by both parties and filed with the Tokyo Metropolitan Medical Procurement Authority's records office.
4.7 The Surgeon acknowledges that all surgical instruments, pharmaceuticals, and medical supplies required for procedures under this Purchase Order shall be procured separately by the Tokyo National Medical Center and are not included in the Surgeon's fee structure.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge that this Purchase Order for Surgeon services in Japan Tokyo has been reviewed, understood, and accepted in its entirety. The Surgeon confirms availability and willingness to perform all duties outlined herein. The Purchaser confirms that sufficient budgetary allocation has been made to fulfill all payment obligations under this Purchase Order.
