- Acceptance: This Purchase Order shall become binding upon written acceptance by the Surgeon or the Surgeon's authorized representative within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Scope of Practice: The Surgeon shall perform all surgical procedures in strict accordance with the Malaysian Medical Council's Code of Ethics and Professional Conduct, as well as the clinical protocols established by the Malaysia Kuala Lumpur facility. The Surgeon must hold a valid specialist registration and shall not delegate critical surgical steps to unqualified personnel.
- Payment Terms: Payment shall be made within thirty (30) days from the date of invoice submission. Invoices must reference this Purchase Order number (PO-KL-2025-07482). Payment shall be processed via bank transfer to the account designated by the Surgeon's practice. All amounts are denominated in Malaysian Ringgit (MYR).
- Performance Period: The Surgeon's engagement under this Purchase Order is valid from 1 July 2025 to 30 September 2025. Any extension beyond this period requires a formal amendment to this Purchase Order signed by both parties.
- Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, surgical outcomes, and proprietary clinical data encountered during the course of this engagement in Malaysia Kuala Lumpur. This obligation survives the termination of this Purchase Order by a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Surgeon shall complete all scheduled procedures already booked and provide a minimum of two (2) weeks of post-operative follow-up for patients under active care.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the Malaysian Mediation Centre. If mediation fails, the matter shall be referred to the courts of competent jurisdiction in Malaysia Kuala Lumpur.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia, including the Medical Act 1971 (Act 17) and the Personal Data Protection Act 2010 (PDPA).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or pandemics affecting the Malaysia Kuala Lumpur region.
All surgical services shall be performed at the Penang-KL Integrated Medical Centre, located in Malaysia Kuala Lumpur, unless otherwise agreed in writing. The Surgeon is required to report to the facility no later than thirty (30) minutes prior to the scheduled start time of each procedure. The Surgeon shall bring all personal surgical instruments unless otherwise specified in Line Item 6 of this Purchase Order. The facility shall provide all anaesthetic support, nursing staff, operating theatre equipment, and post-operative recovery facilities.
