This Purchase Order is issued by the Abuja Federal Medical Centre, located in Nigeria Abuja, for the engagement of a qualified and licensed Surgeon to provide specialist surgical services, on-call availability, and clinical oversight for the General Surgery and Trauma Units. This Purchase Order constitutes a binding agreement between the Buyer and the named Surgeon for the duration specified herein. All services rendered under this Purchase Order shall be performed within the premises of the Abuja Federal Medical Centre, Nigeria Abuja, in strict compliance with the standards set by the Medical and Dental Council of Nigeria (MDCN) and the National Health Act of 2014.

- Validity: This Purchase Order is valid for a period of twelve (12) months commencing from 1 July 2025 and expiring on 30 June 2026, unless renewed in writing by both parties. The Surgeon shall provide a minimum of sixty (60) days' written notice prior to the expiry date if intending not to renew.
- Payment Terms: Payment for the Surgeon's monthly clinical engagement (Item 01) shall be made on the 5th of each subsequent month via bank transfer to the account designated by the Surgeon. On-call shift payments (Item 02) shall be processed within fourteen (14) days of the completion of each shift, subject to verification by the Duty Medical Officer. Equipment procurement (Item 04) shall be paid in two tranches: 50% upon order confirmation and 50% upon successful delivery and installation at the Nigeria Abuja facility.
- Performance Standards: The Surgeon shall maintain a minimum patient satisfaction score of 85% as measured by the facility's quarterly patient feedback surveys. Failure to meet this threshold for two consecutive quarters shall constitute grounds for review of this Purchase Order.
- Compliance: The Surgeon shall hold a valid and current licence to practise medicine and surgery issued by the Medical and Dental Council of Nigeria. The Surgeon shall comply with all data protection regulations under the Nigeria Data Protection Act 2023 and maintain strict patient confidentiality in accordance with the MDCN Code of Medical Ethics.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of gross professional misconduct, unfitness to practise, or breach of the MDCN Code of Conduct, the Buyer reserves the right to terminate this Purchase Order immediately without notice or further compensation.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to epidemics, government-imposed lockdowns, or natural disasters affecting the Nigeria Abuja region.
By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Surgeon at the Abuja Federal Medical Centre, Nigeria Abuja.
