4.1 Payment Terms: Payment for this Purchase Order shall be made in two installments. The first installment of fifty percent (50%) of the grand total, amounting to 1,894,200.00 RUB, shall be due within ten (10) business days of the date of this Purchase Order. The second installment of fifty percent (50%), amounting to 1,894,200.00 RUB, shall be due within fifteen (15) business days following the completion of the final scheduled surgical session. All payments shall be made via bank transfer to the account designated by the Surgeon's practice, Petrov & Associates, registered in Saint Petersburg, Russia.

4.2 Performance Period: The services described in this Purchase Order shall be rendered over a period of one (1) calendar month, commencing on 1 July 2025 and concluding on 31 July 2025, at the Almaz Medical Center in Russia Saint Petersburg. The Surgeon shall adhere to the surgical schedule provided by the hospital's operating theatre coordinator no later than five (5) business days prior to each scheduled session.

4.3 Regulatory Compliance: The Surgeon warrants that all services rendered under this Purchase Order shall comply with the Federal Law of the Russian Federation "On the Protection of Consumer Rights," the Federal Law "On the Fundamentals of Protecting the Health of Citizens in the Russian Federation," and all applicable municipal regulations of Saint Petersburg. The Surgeon shall maintain valid professional medical insurance and malpractice liability coverage with a minimum coverage of 10,000,000.00 RUB for the duration of this engagement.

4.4 Cancellation and Modification: Either party may cancel or modify this Purchase Order by providing written notice no fewer than seven (7) calendar days in advance. Cancellation by the Purchasing Entity after the Surgeon has confirmed availability for a specific session shall incur a cancellation fee of twenty-five percent (25%) of the session fee. Cancellation by the Surgeon without valid medical or force majeure justification shall require a full refund of any pre-paid amounts for the affected session.

4.5 Confidentiality and Data Protection: The Surgeon shall handle all patient medical records and personal data in strict accordance with Federal Law No. 152-FZ "On Personal Data" of the Russian Federation. No patient information shall be disclosed to third parties without the explicit written consent of the patient, except as required by law. This obligation shall survive the termination of this Purchase Order for a period of ten (10) years.

4.6 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation in good faith. If negotiation fails, disputes shall be submitted to the Arbitration Court of Saint Petersburg and Leningrad Region for resolution.

This Purchase Order becomes effective upon signature by both parties.
