The Surgeon shall perform all duties in strict compliance with the regulations set forth by the Saudi Ministry of Health and the Saudi Commission for Health Specialties (CCHS).

The engagement of the Surgeon under this Purchase Order covers a period of twelve (12) months commencing from 1 July 2025 through 30 June 2026. The Surgeon is expected to be available on-site at the Al-Nour Medical Center surgical wing in Jeddah, Saudi Arabia, for a minimum of forty (40) clinical hours per week, including scheduled on-call shifts for emergency surgical interventions.

All amounts stated in this Purchase Order are in Saudi Riyals (SAR) and are inclusive of applicable Value Added Tax (VAT) at the rate of 15% as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia. No additional charges shall be levied beyond the rates specified herein without prior written amendment to this Purchase Order.

  1. Compliance with Saudi Law: The Surgeon shall perform all services in full accordance with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Medical Practice Law, the CCHS bylaws, and the Saudi Ministry of Health directives governing surgical practice in Jeddah and the wider Makkah region.
  2. Licensing and Credentials: The Surgeon must maintain a valid, unrestricted medical license issued by the Saudi Commission for Health Specialties throughout the entire term of this Purchase Order. Any lapse in licensure shall constitute immediate grounds for termination of this Purchase Order without penalty to the Purchaser.
  3. Payment Terms: Payment for services rendered under this Purchase Order shall be made on a monthly basis within thirty (30) days of receipt of an accurate invoice from the Surgeon. Payments shall be processed via bank transfer to the account designated by the Surgeon in a Saudi Arabian financial institution.
  4. Confidentiality and Patient Data: The Surgeon shall adhere strictly to the Saudi Data and Artificial Intelligence Authority (SDAIA) regulations and the hospital's internal data protection policies. All patient records, surgical reports, and clinical data generated in Jeddah under this Purchase Order shall remain the exclusive property of Al-Nour Medical Center.
  5. Insurance and Liability: The Surgeon shall maintain professional medical malpractice insurance with a minimum coverage of SAR 5,000,000 per claim, issued by a licensed insurer operating in Saudi Arabia. Proof of insurance shall be submitted prior to the commencement of services.
  6. Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of gross professional misconduct, failure to meet clinical standards, or violation of Saudi medical ethics, the Purchaser reserves the right to terminate this Purchase Order immediately.
  7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from or in connection with this Purchase Order shall be resolved through the competent courts in Jeddah, Saudi Arabia, or by arbitration under the rules of the Saudi Center for Commercial Arbitration (SCCA) in Jeddah.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to acts of God, government sanctions, or public health emergencies declared by the Saudi Ministry of Health.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Surgeon at the Al-Nour Medical Center facility in Jeddah, Saudi Arabia. This Purchase Order constitutes a binding agreement between the parties effective from the date of the last signature.
