- This Purchase Order is issued in accordance with the regulations of the Ministry of Health of the Kingdom of Saudi Arabia and the Saudi Commission for Health Specialties (CCHS). The Surgeon named herein must maintain an active, valid license throughout the duration of the contracted services in Riyadh.
- All surgical and medical services described in this Purchase Order shall be performed exclusively at the Al-Riyadh Medical Group facility located in Riyadh, Saudi Arabia, or at such other approved facility within the Riyadh metropolitan area as mutually agreed in writing.
- The Surgeon shall adhere to all clinical protocols, infection control standards, and patient safety guidelines established by the Saudi Ministry of Health and the facility's internal quality assurance committee.
- Payment terms: Net 30 days from the date of invoice submission. Payment shall be made via bank transfer to the IBAN specified in Section 2. Late payments shall incur a penalty of 1.5% per month as per Saudi commercial law.
- The Surgeon shall provide a comprehensive written surgical report within five (5) business days following the procedure. Failure to deliver the report within the stipulated timeframe shall result in a deduction of 5% of the total Purchase Order value per day of delay, up to a maximum of 25%.
- This Purchase Order is subject to the General Conditions of Contract for Medical Services as published by the Saudi Arabian Standards Organization (SASO) and applicable provisions of the Saudi Civil Transactions Law.
- Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by both parties. Verbal agreements regarding the scope of the Surgeon's services shall not be binding.
- The Surgeon shall maintain professional medical malpractice insurance with a minimum coverage of SAR 5,000,000, valid throughout the service period in Saudi Arabia. Proof of insurance shall be provided prior to the commencement of services.
- All patient data and medical records handled by the Surgeon under this Purchase Order are subject to the Saudi Personal Data Protection Law (PDPL) and the facility's confidentiality policies. Unauthorized disclosure shall constitute a material breach.
- Disputes arising from this Purchase Order shall be resolved through the competent courts of Riyadh, Kingdom of Saudi Arabia, in accordance with the laws of the Kingdom.
