This Purchase Order is issued by Hôpital Général de Dakar to formally engage the services of a qualified Surgeon for a defined period of surgical and clinical operations to be conducted within the facilities located in Senegal, Dakar. The scope includes pre-operative patient assessments, intra-operative procedures, post-operative monitoring, and follow-up consultations. The Surgeon shall comply with all regulatory standards set forth by the Senegalese Ministry of Health and the Ordre des Médecins du Sénégal.

4.1 Commencement and Duration

The Surgeon's engagement under this Purchase Order shall commence on 1 July 2025 and shall remain in full force for a period of twelve (12) months, concluding on 30 June 2026. All surgical and clinical services shall be delivered at the Hôpital Général de Dakar facility in Senegal, Dakar, or at such other approved medical facility within Dakar as mutually agreed in writing.

4.2 Payment Terms

Payment for services rendered under this Purchase Order shall be made in CFA Francs (XOF) via bank transfer to the Surgeon's designated account. Invoices shall be submitted on a monthly basis by the 5th of the following month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Senegalese commercial law.

4.3 Regulatory Compliance

The Surgeon warrants that he holds a valid medical license issued by the Senegalese Ministry of Health, a current registration with the Ordre des Médecins du Sénégal, and appropriate malpractice insurance coverage with a minimum liability of 50,000,000 XOF. The Surgeon shall maintain all such credentials throughout the duration of this Purchase Order and shall notify the Purchaser in writing within forty-eight (48) hours of any change, suspension, or revocation of licensure.

4.4 Confidentiality and Patient Data

The Surgeon shall adhere strictly to the data protection provisions of Senegalese law, including Law No. 2008-12 on Personal Data Protection. All patient records, surgical reports, and clinical documentation generated under this Purchase Order shall remain the property of Hôpital Général de Dakar and shall not be disclosed to any third party without written consent of the patient and the Purchaser.

4.5 Cancellation and Termination

Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Surgeon shall be compensated for all services rendered up to the effective date of termination. The Purchaser reserves the right to terminate this Purchase Order immediately in the event of gross professional negligence, violation of medical ethics, or failure to meet the quality standards established for surgical practice in Dakar, Senegal.

4.6 Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any dispute arising from or in connection with this Purchase Order shall be resolved through mediation in Dakar, Senegal, and, failing mediation, through the competent courts of Dakar, Senegal.

Given the specific operational context of Senegal, Dakar, the following provisions apply: The Surgeon shall be available for emergency call-outs within a maximum response time of ninety (90) minutes from any point within the Dakar urban area. The Surgeon acknowledges the seasonal health patterns prevalent in Dakar, Senegal, including the heightened incidence of malaria-related surgical complications during the rainy season (June–October), and shall adjust scheduling and staffing accordingly. All surgical instruments, consumables, and pharmaceuticals required for procedures under this Purchase Order shall be sourced through the hospital's approved supply chain in Dakar, Senegal, to ensure compliance with local pharmaceutical regulations.

This Purchase Order constitutes a binding agreement upon signature by both parties. The Surgeon's acceptance of this Purchase Order signifies full understanding and agreement to all terms, conditions, and obligations outlined herein for the provision of surgical services in Senegal, Dakar.
