1. Scope of Engagement: The Surgeon shall render all surgical and clinical services exclusively at the SNCTI facility in South Korea Seoul, or at such satellite clinics as may be designated in writing by the Chief Medical Officer. The Surgeon shall comply with all regulations set forth by the Ministry of Health and Welfare of the Republic of Korea and the Korean Medical Association.
2. Payment Terms: Payment shall be made on a monthly basis within thirty (30) calendar days of the last day of each service month. Invoices must be submitted to the Procurement Division no later than the fifth (5th) business day of the following month. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Korean commercial law.
3. Performance Standards: The Surgeon is expected to maintain a complication rate not exceeding the national average for cardiothoracic procedures as published by the Korean Society of Thoracic and Cardiovascular Surgeons. Failure to meet this standard for two consecutive quarters shall constitute grounds for review of this Purchase Order.
4. Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, institutional research data, and proprietary surgical techniques in accordance with the Personal Information Protection Act of South Korea (PIPA, Act No. 10465).
5. Insurance and Liability: The Surgeon shall maintain professional medical malpractice insurance with a minimum coverage of KRW 500,000,000 per occurrence for the entire duration of this Purchase Order. Certificates of insurance shall be provided prior to the commencement of services.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of gross professional misconduct, the Purchasing Entity reserves the right to terminate immediately without penalty.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising hereunder shall be resolved through arbitration in Seoul under the rules of the Korean Commercial Arbitration Board (KCAB).

The Surgeon shall report for duty and commence all services no later than 1 July 2025 at the SNCTI main campus, 103 Daehak-ro, Jongno-gu, South Korea Seoul. A pre-service orientation covering institutional protocols, electronic medical record systems, and surgical suite orientation shall be conducted on 28 June 2025.
