- Scope of Engagement: The Surgeon, Dr. Alejandro Ferrer Roca, agrees to perform all surgical and clinical duties outlined in this Purchase Order at the Buyer’s premises in Spain Barcelona. The Surgeon shall maintain full professional liability insurance with a minimum coverage of 1,000,000 EUR per claim throughout the contract period.
- Regulatory Compliance: All services provided under this Purchase Order shall adhere to the Spanish Healthcare System regulations, the Ley 41/2002 de Autonomía del Paciente, and the specific protocols of the Generalitat de Catalunya. The Surgeon must hold a valid licence from the Colègi Oficial de Metges de Barcelona at all times.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made within 30 calendar days of invoice receipt via bank transfer to the account designated by the Surgeon. Late payments shall accrue interest at the rate established by the Spanish Ley 3/2004 de lucha contra la morosidad.
- Confidentiality and Data Protection: The Surgeon shall comply with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD) regarding patient medical records and personal data processed in Spain Barcelona. All patient information shall remain strictly confidential.
- Termination: Either party may terminate this Purchase Order with 60 days’ written notice. In the event of termination, the Buyer shall compensate the Surgeon for all services rendered up to the effective date of termination, plus any non-cancellable commitments.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Barcelona, Spain. If mediation fails, the matter shall be submitted to the competent courts of Barcelona, Spain Barcelona, under Spanish civil law.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting healthcare operations in Spain Barcelona.
This Purchase Order is valid upon signature by both parties. The Surgeon’s acceptance of this Purchase Order constitutes agreement to all terms, conditions, and service specifications outlined herein.
