Terms and Conditions
1. Scope of Engagement: The Surgeon or surgical team engaged under this Purchase Order shall perform all duties in strict compliance with the regulations set forth by the Generalitat Valenciana Health Authority and the Spanish Ministry of Health. All surgical procedures shall be conducted at the designated facility in Valencia, Spain, and must adhere to the clinical protocols established by Clínica Universitaria de Valencia.
2. Delivery and Installation: All physical goods listed in this Purchase Order shall be delivered to the hospital premises at Carrer de la Salut, 42, Valencia, Spain, no later than 01 July 2025. Installation, calibration, and initial testing of all surgical equipment shall be completed within five (5) business days of delivery. The supplier shall bear all transportation and installation costs within the Valencia metropolitan area.
3. Payment Terms: Payment shall be made via bank transfer to the supplier's designated account within thirty (30) days of receipt of a valid invoice. A 10% advance payment shall be due upon acceptance of this Purchase Order. The remaining balance shall be settled in two equal installments: 50% upon delivery and installation of all equipment, and 50% upon successful completion of the three-month surgical service contract. All payments shall be made in Euros (EUR) to a bank account registered in Spain.
4. Surgeon Qualifications and Compliance: The Surgeon engaged under this agreement must hold a valid medical license issued by the Spanish Ministry of Health, be registered with the Il·lustre Col·legi Oficial de Metges de València (ICOV), and possess a minimum of ten (10) years of post-graduate surgical experience. The Surgeon must maintain valid professional liability insurance with a minimum coverage of €1,000,000 per incident, specifically covering practice in Spain Valencia.
5. Regulatory Compliance: All products and services procured under this Purchase Order must comply with applicable European Union medical device regulations (MDR 2017/745), Spanish national health regulations, and the specific operational guidelines of the Valencia regional health authority. All surgical instruments must carry valid CE marking and be traceable under EU lot-numbering systems.
6. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the purchasing entity shall be liable for all non-cancellable costs incurred by the supplier up to the date of termination. The Surgeon's engagement may be terminated immediately in the event of gross professional negligence, loss of medical license, or violation of patient safety protocols.
7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts of Valencia, Spain. Both parties agree to attempt mediation through the Valencia Chamber of Commerce before initiating any formal legal proceedings.
8. Confidentiality: All patient data, clinical records, and proprietary information exchanged in connection with this Purchase Order shall be treated as strictly confidential and handled in accordance with the Spanish Organic Law 3/2018 on Personal Data Protection and the General Data Protection Regulation (GDPR).
