All surgical procedures shall be conducted in compliance with the Sri Lankan Medical Council regulations, the National Hospital Authority guidelines, and international surgical safety checklists. The Surgeon shall maintain complete and accurate patient records, submit weekly surgical reports to the Chief Medical Officer, and participate in monthly quality assurance reviews specific to the Colombo medical community.

1. Payment Terms: Payment for the Surgeon's services shall be made on a monthly basis within fifteen (15) working days of the end of each calendar month. The first payment shall be due on 15 July 2025. All payments shall be made via bank transfer to the account designated by the Surgeon, domiciled in Sri Lanka Colombo.
2. Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing from 1 July 2025 and expiring on 30 June 2026, unless terminated earlier by mutual written agreement between both parties.
3. Termination Clause: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Surgeon shall be compensated for all services rendered up to the effective date of termination.
4. Professional Liability: The Surgeon shall maintain a valid professional indemnity insurance policy with a minimum coverage of LKR 20,000,000, registered with a licensed insurance provider operating in Sri Lanka Colombo. Proof of insurance shall be submitted prior to the commencement of services.
5. Regulatory Compliance: The Surgeon shall hold a valid registration with the Sri Lankan Medical Council and shall comply with all regulations issued by the Ministry of Health, Sri Lanka, and the Colombo Municipal Council regarding medical practice in the Colombo district.
6. Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient information in accordance with the Sri Lankan Data Protection Act and hospital privacy policies. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Sri Lanka Colombo. If mediation fails, the matter shall be referred to the Colombo District Court for adjudication under the laws of the Democratic Socialist Republic of Sri Lanka.
8. Force Majeure: Neither party shall be liable for failure to perform obligations due to natural disasters, government-imposed restrictions, or other events beyond reasonable control, as commonly recognized in Sri Lanka Colombo commercial practice.

The Surgeon shall report for duty at the Colombo General Medical Services facility, 42 Galle Road, Colombo 03, Sri Lanka, on or before 1 July 2025 at 08:00 AM. The Surgeon shall be provided with access to the surgical theatre, operating rooms, and all necessary medical equipment maintained by the facility. The Purchasing Party shall ensure that all surgical instruments, anaesthetic equipment, and consumables required for the Surgeon's procedures are available and in working condition at all times.

This Purchase Order constitutes a binding agreement between the Purchasing Party and the Surgeon upon signature by both authorized representatives. By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions outlined in this document pertaining to the procurement of Surgeon services in Sri Lanka Colombo.
