- Commencement: The Surgeon shall commence duties no later than 1 July 2025. Failure to report by this date shall entitle the Buyer to cancel this Purchase Order without penalty.
- Working Hours: The Surgeon shall work a standard schedule of 40 hours per week, Monday through Friday, from 07:00 to 17:00, with additional on-call duties as specified in Item 02 above.
- Payment Terms: Payment shall be made monthly in arrears within fourteen (14) calendar days of the Surgeon's submission of a valid invoice. All payments shall be processed in Tanzanian Shillings (TZS) via bank transfer to the account designated by the Surgeon.
- Tax Obligations: The Buyer shall withhold applicable income tax as prescribed by the Tanzania Revenue Authority (TRA) and remit it on behalf of the Surgeon. The Surgeon is responsible for all other personal tax liabilities.
- Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, institutional data, and proprietary medical protocols encountered during the course of employment in Tanzania Dar es Salaam. This obligation survives the termination of this Purchase Order by a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In cases of gross professional misconduct, unfitness to practice, or revocation of the medical license by the Tanzania Medical Council, the Buyer may terminate immediately without notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be addressed through internal mediation. If unresolved within thirty (30) days, the matter shall be referred to the courts of competent jurisdiction in Tanzania Dar es Salaam.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both the authorized officer of the Buyer and the Surgeon.
Services rendered under this Purchase Order shall be deemed delivered upon the Surgeon's physical presence and active participation in surgical procedures, consultations, and training sessions at the Dar es Salaam Regional Medical Centre. Acceptance of services is confirmed by the Head of the Surgical Services Division through a monthly service verification form. Any disputes regarding the quality or completeness of services must be raised within seven (7) days of the monthly verification.
