All amounts stated in this Purchase Order are denominated in Turkish Lira (TRY) and are inclusive of applicable Value Added Tax (VAT) at the prevailing rate of 20% as mandated by the Republic of Turkey tax authorities. No additional charges shall be incurred beyond the total Purchase Order value unless a formal amendment is executed in writing by both parties.
- Acceptance and Validity: This Purchase Order shall become effective upon written acceptance by the Surgeon within ten (10) business days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Service Location: All surgical services, consultations, and training sessions referenced in this Purchase Order shall be conducted exclusively at the Medipol Ankara Medical Center or other approved facilities within the municipality of Turkey Ankara, unless otherwise agreed in writing.
- Professional Standards: The Surgeon shall maintain all necessary medical licenses, malpractice insurance (minimum coverage of 5,000,000 TRY), and continuing medical education credits as required by the Turkish Ministry of Health throughout the duration of this Purchase Order.
- Payment Terms: Payment shall be made via bank transfer to the account designated by the Surgeon within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (TR-ANK-2025-00487) for processing.
- Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, medical data, and proprietary information encountered during the performance of duties under this Purchase Order, in accordance with the Turkish Personal Data Protection Law (KVKK, Law No. 6698).
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of gross professional misconduct, violation of medical ethics, or loss of medical licensure, the Purchasing Entity reserves the right to terminate this Purchase Order immediately without prior notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Ankara, Turkey. If mediation fails, disputes shall be submitted to the competent courts of Ankara, Turkey, and governed by the laws of the Republic of Turkey.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting medical facilities in Turkey Ankara.
The Surgeon shall commence all services under this Purchase Order no later than 1 July 2025. The monthly on-call schedule, elective surgery calendar, and training session dates shall be coordinated between the Surgeon and the Ankara Metropolitan Health Services Directorate no less than fourteen (14) days in advance. All performance milestones shall be documented and reported monthly to the Procurement Manager in Turkey Ankara.
This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Surgeon services in Turkey Ankara.
