This Purchase Order is issued by the Istanbul Metropolitan Medical Consortium (hereinafter referred to as the "Purchasing Authority") to formally procure the professional surgical services of the designated Surgeon identified above. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. All disputes arising from this Purchase Order regarding the Surgeon's services in Turkey Istanbul shall be subject to the exclusive jurisdiction of the Istanbul Civil Courts.
- Service Period: The Surgeon shall render all services specified herein between July 1, 2025, and December 31, 2025, at the designated medical facility located in the Kadıköy district of Istanbul, Turkey.
- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the IBAN specified above. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due on October 1, 2025. The final installment (33.34%) is due within fifteen (15) business days following the completion of all services and submission of the final surgical report.
- Professional Liability: The Surgeon shall maintain a minimum professional medical malpractice insurance coverage of 5,000,000 TRY throughout the duration of this Purchase Order. A certificate of insurance shall be provided to the Purchasing Authority prior to the commencement of services.
- Confidentiality: The Surgeon agrees to maintain strict confidentiality regarding all patient records, surgical outcomes, and proprietary medical protocols encountered during the performance of services in Turkey Istanbul, in compliance with the Turkish Personal Data Protection Law (KVKK, Law No. 6698).
- Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Surgeon shall be compensated for all services rendered up to the date of termination, and the Purchasing Authority shall be released from any further payment obligations.
- Compliance: The Surgeon warrants that all services shall be performed in full compliance with the regulations of the Turkish Ministry of Health, the Istanbul Provincial Directorate of Health, and all applicable ethical guidelines of the Turkish Medical Association (Türk Tabipleri Birliği).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting medical facilities in Turkey Istanbul.
