- Scope of Engagement: The Surgeon shall provide all surgical and related medical services as outlined in this Purchase Order at Al Noor Medical Center, Abu Dhabi, United Arab Emirates. The Surgeon is responsible for maintaining all necessary DoH-AD licenses, malpractice insurance (minimum coverage of AED 5,000,000), and professional certifications throughout the contract period.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice submission. Invoices must be submitted in AED and must include the Supplier's TRN as per Federal Tax Authority regulations in the United Arab Emirates. Payment shall be processed via bank transfer to the account designated by the Surgeon's practice.
- Performance Standards: The Surgeon shall adhere to all clinical protocols, infection control standards, and patient safety guidelines established by Al Noor Medical Center and the Abu Dhabi Department of Health. Any deviation must be reported to the Chief Medical Officer within twenty-four (24) hours.
- Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, medical data, and proprietary information of the facility in accordance with the UAE Data Protection Law (Federal Decree-Law No. 45 of 2021) and the facility's data governance policy.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of gross professional misconduct, license revocation, or breach of clinical standards, the Buyer reserves the right to terminate this Purchase Order immediately without prior notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the civil and commercial laws applicable in the Emirate of Abu Dhabi. Any disputes shall be resolved through the Abu Dhabi Courts or, by mutual agreement, through arbitration under the Abu Dhabi Global Market (ADGM) Arbitration Centre.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the Abu Dhabi government.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not constitute a valid amendment to the terms herein.
