3. TERMS AND CONDITIONS

3.1 Scope of Engagement: This Purchase Order authorizes the engagement of the named Surgeon for the period specified above. The Surgeon shall perform all duties in strict accordance with the clinical protocols established by Al Noor Medical Center and the regulatory standards enforced by the Dubai Health Authority within the United Arab Emirates Dubai jurisdiction.

3.2 Licensing and Compliance: The Surgeon must maintain a valid, unrestricted DHA medical license throughout the entire contract term. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order without penalty to the purchasing entity.

3.3 Payment Terms: Invoices shall be submitted on the last working day of each calendar month. Payment shall be processed via bank transfer to the Surgeon's designated account within fifteen (15) business days of invoice receipt. All payments are denominated in United Arab Emirates Dirhams (AED) and are subject to the 5% Value Added Tax applicable in United Arab Emirates Dubai.

3.4 Confidentiality and Data Protection: The Surgeon shall adhere to all patient confidentiality obligations as outlined in the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. All patient records generated during the engagement shall remain the property of Al Noor Medical Center.

3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In cases of gross professional misconduct, the purchasing entity reserves the right to terminate immediately in accordance with Dubai Health Authority disciplinary procedures.

3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, with jurisdiction vested in the courts of Dubai, United Arab Emirates Dubai.

3.7 Insurance: The Surgeon shall maintain a minimum professional indemnity insurance coverage of AED 5,000,000 per claim, valid throughout the contract period, as required for all practicing Surgeons in United Arab Emirates Dubai.
