This Purchase Order is issued by Thames Valley Surgical Centre Ltd. for the engagement of a qualified Surgeon and the procurement of associated surgical consumables, instruments, and professional services to be delivered at the buyer's facility in London, United Kingdom. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
  2. Surgeon Qualifications: The Surgeon engaged under this Purchase Order must hold a valid General Medical Council (GMC) licence to practise in the United Kingdom, be a Fellow of the Royal College of Surgeons (FRCS), and maintain current Professional Indemnity Insurance throughout the contract period. The Surgeon shall operate in full compliance with the GMC's "Good Medical Practice" guidelines and all applicable NHS and private healthcare regulations in London.
  3. Delivery and Performance: All surgical services and equipment deliveries shall be made to the buyer's premises at 128 Harley Street, London, W1G 8BJ, United Kingdom. The Surgeon shall adhere to the agreed surgical schedule and provide a minimum of 48 hours' written notice for any rescheduling of elective procedures.
  4. Payment: Payment shall be made via BACS transfer to the supplier's designated United Kingdom bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  5. Confidentiality and Data Protection: Both parties shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All patient records, surgical reports, and clinical data generated in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without written consent.
  6. Warranty and Liability: All surgical instruments and consumables supplied under this Purchase Order shall be new, unused, and in full compliance with UK Medical Device Regulations 2002 (SI 2002/614). The Surgeon warrants that all procedures shall be performed to the standard of care expected of a reasonably competent Consultant Surgeon practising in London, United Kingdom.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered and equipment delivered up to the date of termination. The Surgeon shall ensure a safe and orderly handover of all ongoing patient care to a suitably qualified replacement Surgeon.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to acts of God, pandemics, government-imposed restrictions, or civil unrest affecting the London, United Kingdom region.
