This Purchase Order authorizes the engagement of a qualified Surgeon to provide comprehensive surgical services at Miami Coastal Medical Center, located in the United States Miami metropolitan area. The Surgeon shall perform, supervise, and manage all surgical procedures within the scope of his board-certified specialty, in full compliance with Florida Department of Health regulations, Joint Commission standards, and all applicable federal and state medical practice laws governing the United States.

The Surgeon is expected to maintain a minimum of 40 clinical hours per week on-site at the Miami facility, with additional on-call availability for emergency surgical interventions. All services rendered under this Purchase Order shall be conducted within the geographic jurisdiction of Miami-Dade County, Florida, United States, unless prior written authorization is obtained for out-of-area consultations.

  1. Term of Agreement: This Purchase Order shall remain in effect for a period of twelve (12) months from the date of mutual execution, commencing July 1, 2025, and expiring June 30, 2026, unless renewed in writing by both parties.
  2. Payment Terms: Net 30 days from receipt of an itemized invoice. All payments shall be made via ACH transfer to the account designated by the Surgeon's business entity. Invoices must reference this Purchase Order number (PO-2025-MIA-SRG-00472) for processing.
  3. Compliance: The Surgeon shall maintain an active, unrestricted medical license issued by the Florida Board of Medicine throughout the duration of this Purchase Order. Failure to maintain licensure in the State of Florida, United States, shall constitute immediate grounds for termination.
  4. Insurance: The Surgeon shall carry and maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence and $5,000,000 aggregate, naming Miami Coastal Medical Center as an additional insured. Certificates of insurance must be provided prior to the commencement of services.
  5. Confidentiality: All patient records, surgical data, and proprietary medical information encountered in the United States Miami facility shall be treated as strictly confidential in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and Florida Statute Chapter 395.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Termination for cause (including but not limited to malpractice, license suspension, or breach of contract) may be effected immediately upon written notice.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, and the applicable federal laws of the United States. Any disputes shall be resolved through binding arbitration in Miami, Florida.
  8. Independent Contractor Status: The Surgeon is engaged as an independent contractor and not as an employee of Miami Coastal Medical Center. The Surgeon is solely responsible for all federal and state tax obligations, including self-employment tax, in the United States.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters (including hurricanes affecting the Miami, Florida region), pandemics, or governmental actions beyond reasonable control.

Services under this Purchase Order shall commence on July 1, 2025, at the Miami Coastal Medical Center surgical wing, 2847 Brickell Avenue, Miami, Florida 33133, United States. The Surgeon shall report to the Surgical Services Coordinator no later than 07:00 AM (Eastern Time) on the first day of service. All surgical suites, operating room equipment, and ancillary support staff shall be provided by the facility. The Surgeon shall supply his own surgical instruments and specialty tools unless otherwise specified in a written addendum to this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Surgeon at the United States Miami facility.
