3. Description of Goods / Services Procured

This Purchase Order is issued to formally request the procurement and placement of a qualified Surgeon to provide specialized surgical services at the Ho Chi Minh City International Medical Group facility located in Vietnam Ho Chi Minh City. The Surgeon shall be engaged on a fixed-term contract basis to perform general and minimally invasive surgical procedures, supervise junior surgical staff, and contribute to the hospital's surgical excellence program.

4. Surgeon Qualification Requirements

The Surgeon procured under this Purchase Order must meet the following minimum qualifications to practice in Vietnam Ho Chi Minh City:

  • Board-certified in General Surgery or a recognized surgical subspecialty (e.g., Cardiothoracic, Neurosurgery, Orthopedic Surgery) with a minimum of 10 years of post-residency clinical experience.
  • Valid medical license in good standing from the country of origin, with no disciplinary actions or malpractice claims in the preceding five years.
  • Eligibility to obtain a Vietnamese medical practice permit issued by the Ministry of Health of Vietnam, specifically for practice in Ho Chi Minh City.
  • Demonstrated proficiency in performing laparoscopic and robotic-assisted surgical procedures, as the facility in Vietnam Ho Chi Minh City is equipped with Da Vinci surgical systems.
  • Fluency in English (minimum IELTS 7.0 or equivalent) and willingness to undertake basic Vietnamese language training for patient communication.
  • Current Basic Life Support (BLS) and Advanced Cardiac Life Support (ACLS) certifications.
5. Terms and Conditions
  • Contract Duration: The Surgeon engagement shall commence on 01 August 2025 and conclude on 31 July 2026, unless extended by mutual written agreement between the parties.
  • Work Location: All surgical duties shall be performed at the Ho Chi Minh City International Medical Group facility, 68 Nguyen Hue Boulevard, District 1, Vietnam Ho Chi Minh City. The Surgeon may be required to attend on-call rotations as per hospital policy.
  • Payment Schedule: 40% of the total Purchase Order value shall be due upon signing of the Surgeon's employment contract. 40% shall be due upon the Surgeon's arrival and commencement of duties in Vietnam Ho Chi Minh City. The remaining 20% shall be due upon successful completion of the 90-day probationary period.
  • Termination: Either party may terminate this Purchase Order and the associated Surgeon contract with 60 days' written notice. In the event of termination for cause (e.g., gross negligence, loss of medical license), termination shall be effective immediately.
  • Compliance: The Surgeon shall comply with all Vietnamese medical regulations, the Vietnam Ho Chi Minh City municipal health authority guidelines, and the ethical standards of the World Medical Association. The Seller warrants that the Surgeon shall hold all necessary visas and work permits for the duration of the contract.
  • Confidentiality: All patient records, surgical case files, and proprietary hospital protocols encountered by the Surgeon in Vietnam Ho Chi Minh City shall remain strictly confidential and subject to Vietnamese data protection law.
  • Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC), with the seat of arbitration in Singapore. The governing law shall be the laws of the Republic of Singapore.
  • Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions affecting operations in Vietnam Ho Chi Minh City.
6. Delivery and Commencement Details

The Seller shall ensure that the qualified Surgeon is physically present and ready to commence surgical duties at the designated facility in Vietnam Ho Chi Minh City no later than 01 August 2025. All visa documentation, work permits, and medical practice registrations required by Vietnamese authorities shall be completed and verified prior to the Surgeon's arrival. The Seller shall provide the Buyer with a minimum of 30 days' advance notice of the Surgeon's expected arrival date in Vietnam Ho Chi Minh City to facilitate onboarding logistics.

7. Authorization and Signatures

This Purchase Order is hereby authorized and executed by the undersigned representatives of both parties, confirming the procurement of the Surgeon services for deployment in Vietnam Ho Chi Minh City as described herein.
