This Purchase Order is issued by Andes Digital Solutions S.A. to formally engage the services of a qualified Systems Engineer (or team of Systems Engineers) to support the ongoing infrastructure, cloud, and security operations of our primary facility in Argentina Buenos Aires. The Systems Engineer shall possess a minimum of eight (8) years of professional experience in enterprise IT infrastructure, hold relevant certifications (AWS Solutions Architect, Cisco CCNP/CCIE, or equivalent), and demonstrate proven expertise in Linux/Unix system administration, network engineering, and enterprise application deployment. All professional services under this Purchase Order shall be rendered in compliance with Argentine labor regulations, professional conduct standards, and the specific operational requirements of the Buenos Aires metropolitan area.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación) and applicable commercial regulations in force in the City of Buenos Aires.
- Place of Performance: All services shall be primarily performed at the Argentina Buenos Aires office located at Av. Corrientes 2340, Piso 12. Remote work may be authorized in writing by the project manager but shall not exceed twenty percent (20%) of total contracted hours.
- Intellectual Property: All work product, documentation, configurations, scripts, and deliverables created by the Systems Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Andes Digital Solutions S.A. The Systems Engineer grants a full and irrevocable assignment of all intellectual property rights upon delivery.
- Confidentiality: The Systems Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, client data, and operational details of Andes Digital Solutions. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Payment: Invoices shall be submitted monthly by the fifth (5th) business day. Payment shall be made via bank transfer to the account designated by TechPro Engineering Services SRL within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate established by the Central Bank of Argentina (Banco Central de la República Argentina).
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Systems Engineer shall complete all in-progress tasks and deliver all work product to Andes Digital Solutions in Argentina Buenos Aires.
- Insurance & Liability: The Systems Engineer and/or TechPro Engineering Services SRL shall maintain professional liability insurance with a minimum coverage of USD 500,000. The Systems Engineer shall be liable for damages caused by gross negligence or willful misconduct in the performance of services in Argentina Buenos Aires.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to binding arbitration in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce (Cámara de Comercio Argentina).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or infrastructure failures affecting the Argentina Buenos Aires region.
- Compliance: The Systems Engineer shall comply with all applicable Argentine federal, provincial, and municipal laws and regulations, including but not limited to data protection (Ley 25.326), labor law (Ley 20.744), and tax obligations in the jurisdiction of Buenos Aires.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Systems Engineer services in Argentina Buenos Aires. This document constitutes a binding agreement upon execution by both authorized representatives.
