The Systems Engineer engagement shall commence on 1 July 2025 at the Meridian Infrastructure Solutions facility in Australia Sydney (Level 24, 1 Macquarie Place, Sydney NSW 2000). The initial contract term is twelve (12) months, expiring on 30 June 2026, subject to renewal by mutual written agreement. The Systems Engineer is required to be physically present at the Australia Sydney office a minimum of four (4) days per week, with one (1) day permitted for remote work as approved by the project manager.
All payments under this Purchase Order shall be made in Australian Dollars (AUD) via electronic funds transfer (EFT) to the supplier's nominated bank account. Invoicing shall be conducted monthly in arrears, with payment due within thirty (30) calendar days of receipt of a valid tax invoice. The Systems Engineer's professional services fee shall be paid in equal monthly instalments of $11,875.00 (excl. GST). All one-off items (onboarding, workstation, certification sponsorship) shall be invoiced upon completion of the respective milestone. Late payments shall attract interest at the rate prescribed under the Australian Competition and Consumer Act 2010 (Cth).
- This Purchase Order is governed by the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes shall be resolved in the courts of Australia Sydney or by arbitration under the rules of the Australian Disputes Centre.
- The Systems Engineer shall comply with all applicable Australian workplace health and safety legislation, including the Work Health and Safety Act 2011 (NSW), and all site-specific safety protocols at the Australia Sydney premises.
- The supplier warrants that the Systems Engineer engaged under this Purchase Order holds a minimum of a Bachelor's degree in Computer Science, Information Technology, or a related engineering discipline, and possesses a minimum of eight (8) years of progressive experience in enterprise systems engineering.
- All intellectual property, documentation, and work product created by the Systems Engineer in the course of this engagement shall be the sole property of Meridian Infrastructure Solutions Pty Ltd.
- The Systems Engineer shall be bound by strict confidentiality obligations in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. All data handled in Australia Sydney shall remain within Australian jurisdiction.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Systems Engineer's services shall be wound down in an orderly fashion, and all company assets shall be returned to the Australia Sydney office.
- This Purchase Order does not create a partnership, joint venture, or agency relationship between the parties. The Systems Engineer is engaged as an independent contractor through the supplier entity.
- Any amendments to this Purchase Order must be made in writing and signed by authorised representatives of both parties.
