3. Develop and enforce cybersecurity policies, conduct vulnerability assessments, and ensure compliance with Bangladesh's Digital Security Act and relevant data protection regulations.
4. Provide 24/7 on-call support during critical system outages, with a maximum response time of 30 minutes for P1 incidents.
5. Prepare monthly Systems Engineer performance reports, capacity planning documents, and quarterly infrastructure roadmaps for executive review.
6. Maintain complete documentation of all system configurations, change logs, and disaster recovery procedures specific to the Bangladesh Dhaka data center.
7. Coordinate with local Bangladesh Dhaka government regulatory bodies for any required IT infrastructure permits or compliance filings.

1. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within 30 days of invoice receipt via bank transfer to the Seller's designated account in Bangladesh Dhaka. All payments are subject to applicable withholding tax as per Bangladesh Inland Revenue regulations.
2. Commencement Date: The Systems Engineer engagement shall commence on 1 July 2025. The Seller shall ensure both Systems Engineer personnel are fully onboarded, security-cleared, and operational at the Bangladesh Dhaka site no later than 30 June 2025.
3. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, termination may be effected with 14 days' notice. All work in progress at the time of termination shall be compensated pro-rata.
4. Confidentiality: The Systems Engineer personnel shall sign non-disclosure agreements prior to accessing any Buyer systems. All proprietary data, network topologies, and client information encountered during operations in Bangladesh Dhaka shall remain strictly confidential.
5. Performance Metrics: The Systems Engineer shall be evaluated quarterly against predefined KPIs including system uptime (minimum 99.9%), mean time to resolution, and security incident response times. Failure to meet KPIs for two consecutive quarters shall constitute grounds for review.
6. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act of Bangladesh. The governing law shall be the laws of the People's Republic of Bangladesh.

8. Compliance: The Seller warrants that all Systems Engineer personnel engaged under this Purchase Order hold valid work permits, professional certifications, and meet all statutory requirements for employment in Bangladesh Dhaka.
