This Purchase Order is issued by Federal Infrastructure & Technology Solutions S.A. to formally request and authorize the engagement of a qualified Systems Engineer to provide specialized technical services at the designated operational site in Brazil Brasília. The scope of work encompasses the design, implementation, integration, and ongoing maintenance of critical IT infrastructure systems supporting federal government operations within the Federal District.

The Systems Engineer engaged under this Purchase Order shall perform all duties and deliverables at the primary operational location in Brazil Brasília, Federal District. The scope includes but is not limited to:

• Conducting a comprehensive assessment of the existing IT infrastructure at the FITSA headquarters in Brazil Brasília, including network topology, server capacity, and data flow analysis.
• Designing and documenting a scalable systems architecture blueprint that meets the operational requirements of federal agencies co-located in the Brazil Brasília facility.
• Implementing hardware and software components, including but not limited to rack-mounted servers, network switches, firewalls, and load balancers, all to be installed at the Brazil Brasília site.
• Configuring and testing all systems to ensure 99.9% uptime availability, with documented failover and disaster recovery procedures specific to the Brazil Brasília location.
• Providing weekly progress reports to the FITSA procurement office and a final acceptance report upon completion of each phase of the project in Brazil Brasília.
• Ensuring full compliance with Brazilian federal procurement regulations, including Law No. 14.133/2021, and all applicable technical standards set by the National Information Technology Institute (ITI).

• Payment Schedule: 30% advance payment upon signing of this Purchase Order; 40% upon completion and acceptance of the implementation phase; 30% upon successful completion of the 12-month support period.
• Payment Method: Bank transfer (TED/PIX) to the account designated by Apex Systems Engineering & Consulting Ltda. All payments shall be denominated in Brazilian Reais (BRL).
• Payment Due Date: Net 30 days from the date of invoice submission, provided all deliverables have been accepted in writing by the FITSA project manager in Brazil Brasília.
• Taxation: All applicable Brazilian federal, state, and municipal taxes (including ISS, PIS, COFINS, and IR) shall be calculated and remitted in accordance with the tax jurisdiction of Brazil Brasília, Federal District.
• Penalties: Late payments shall incur a monthly interest rate of 1% plus a 2% fine, as stipulated in Brazilian commercial law.

• This Purchase Order constitutes a binding agreement between the parties and shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil Brasília, Federal District.
• The Systems Engineer shall maintain all professional certifications, technical licenses, and insurance coverage required for the performance of services in Brazil Brasília throughout the duration of this contract.
• Confidentiality: All data, documents, and proprietary information accessed by the Systems Engineer during the execution of this Purchase Order in Brazil Brasília shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from FITSA.
• Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the Systems Engineer shall deliver all work-in-progress documentation and materials to FITSA at the Brazil Brasília site.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or civil unrest affecting the Brazil Brasília region.
• Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Brazil Brasília. If unresolved within 30 days, the matter shall be referred to the competent judicial authorities in Brazil Brasília, DF.
