This Purchase Order is issued by Meridian Infrastructure Solutions S.A. to formally request the engagement of a qualified Systems Engineer to provide comprehensive technical services for the design, implementation, and ongoing maintenance of enterprise-level IT infrastructure. The Systems Engineer shall be based in Brazil, Rio de Janeiro, and will report directly to the Buyer's Chief Technology Officer. The scope of work encompasses the following deliverables:
- Architectural design and documentation of a hybrid cloud infrastructure integrating on-premises data centers in Rio de Janeiro with public cloud services.
- Deployment, configuration, and optimization of server clusters, network switches, and storage area networks (SAN) across the Buyer's three operational sites in the Rio de Janeiro metropolitan area.
- Development and execution of a disaster recovery and business continuity plan compliant with Brazilian data protection regulations (LGPD — Lei Geral de Proteção de Dados).
- Quarterly performance audits, capacity planning, and infrastructure upgrade recommendations.
- Technical training sessions for the Buyer's internal IT staff, conducted on-site in Rio de Janeiro, Brazil.
- 24/7 on-call support availability during critical system migration windows, with a maximum response time of two (2) hours.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific application of the Civil Code (Código Civil) and the Consumer Protection provisions where applicable. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Rio de Janeiro, Brazil.
- Commencement and Duration: The engagement of the Systems Engineer personnel shall commence on 01 July 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7. All work shall be performed primarily at the Buyer's headquarters located in Rio de Janeiro, Brazil, with remote work permitted up to two (2) days per week at the Buyer's discretion.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding calendar month. Payment shall be made via bank transfer (TED/PIX) to the account designated by the Supplier within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month, as stipulated by Brazilian commercial law.
- Confidentiality and Data Protection: The Systems Engineer and all personnel assigned under this Purchase Order shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. All data processed in connection with this engagement shall be handled in strict compliance with the Brazilian General Data Protection Law (LGPD — Lei nº 13.709/2018). No data shall be transferred outside of Brazil, Rio de Janeiro, or the Federal Republic of Brazil without prior written consent from the Buyer.
- Intellectual Property: All deliverables, documentation, code, architectural designs, and reports produced by the Systems Engineer in the course of this Purchase Order shall be the exclusive property of the Buyer. The Supplier warrants that all work shall be original and free from third-party intellectual property claims.
- Performance Standards: The Supplier guarantees that the Systems Engineer assigned to this Purchase Order shall possess a minimum of twelve (12) years of progressive experience in enterprise systems engineering, hold relevant certifications (e.g., TOGAF, AWS Solutions Architect, Cisco CCIE), and demonstrate fluency in both Portuguese and English for all technical documentation and client-facing communications in Rio de Janeiro, Brazil.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress documentation and shall be compensated for services rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or civil unrest affecting the Rio de Janeiro, Brazil region.
- Compliance with Local Regulations: The Supplier shall ensure full compliance with all applicable labor, tax, and regulatory requirements in the state of Rio de Janeiro and the Federal Republic of Brazil, including but not limited to CLT (Consolidação das Leis do Trabalho) obligations for any personnel engaged, municipal ISS tax obligations, and any permits required for on-site technical work in the city of Rio de Janeiro.

This document constitutes a binding commercial agreement upon execution by both authorized representatives.
